富智康集團(02038.HK)與Stellantis擬成立汽車智能駕駛艙及相關輔助功能合營企業
格隆匯8月24日丨富智康集團(02038.HK)發佈公吿，2021年8月24日，公司與Stellantis、公司間接全資附屬公司Wonderful Stars及合營公司(Mobile Drive Netherlands B .V .，一家於荷蘭註冊成立的公司)已訂立合營協議，藉以通過合營公司成立合營企業，以推展業務目標，並訂明合營公司業務的開展方式以及該等合營夥伴的權利及義務應受其載列的條款及條件所規限。根據合營協議，(其中包括)Wonderful Stars(透過公司)須向合營公司注入Mobile Drive集團，作為富智康內部重組的其中部分。
根據合營協議，(i)Stellantis向Wonderful Stars授出Wonderful Stars認購期權及Wonderful Stars認沽期權；及(ii)Wonderful Stars向Stellantis授出Stellantis認購期權及Stellantis認沽期權。該等期權於發生若干期權事件時可予行使。該等認購期權及該等認沽期權構成合營協議的條款其中部分，而訂約各方將不會就授出該等期權支付溢價。
合營集團的全球地域業務範圍集中於車用資訊娛樂系統、車載通訊解決方案、雲端服務平台以及相關的配套硬件(例如應用在智能駕駛艙的車用資訊娛樂前後座位顯示器及車載通訊器件)及軟件(例如基於AI(人工智能)的車載應用程式、智慧導航、語音助手、環視系統、電商平台及支付整合服務)等領域。
合營集團業務目標將為：(1)於全球汽車市場創建領先的“數碼駕駛艙”及“輔助功能”，並於此領域建立汽車級解決方案；(2)整合內部及╱或第三方軟件、硬件及雲端解決方案，以創造市場領先的解決方案；提供吸引及滿意的汽車用户界面；幷包括與消費設備(如手機)連接的車載(車內)至車外界面及數碼生態系統；及(3)以採用及安裝合營公司產品的初始Stellantis車輛為對象，於此後提供定期維護及更新；尋求提供可應用於整個Stellantis車輛組合的解決方案以及特定品牌的產品；並向第三方OEM(原設備製造商)銷售其解決方案。
根據合營協議，透過與Stellantis合作，集團可與Stellantis開展業務，業務涵蓋智能駕駛艙及相關輔助功能連同配套硬件及軟件，從而產生更多收入，並加強利用其資產、能力、知識產權、研發成果及能力(特別是集團於IoV(車聯網)業務分部中提供創新軟件設計及硬件開發服務及解決方案以及無線通訊及資訊交換技術及雲端服務方面的專業知識及經驗，連同配套網絡及生態系統)，符合公司及其股東的整體利益，以推進集團的業務策略，積極擴大其於IoV業務分部的參與，不斷建立一個更佳的互聯網及移動生態系統。
