金威醫療(08143.HK)出售愛丁堡醫院管理(莆田)全部股權
格隆匯8月23日丨金威醫療(08143.HK)公吿，於2021年8月23日，賣方愛丁堡國際醫院管理有限公司(公司間接非全資附屬公司)與買方福建莆陽壺瀾投資有限責任公司訂立出售協議，根據出售協議，賣方有條件同意出售，而買方有條件同意購買銷售權益，即目標公司愛丁堡醫院管理(莆田)有限公司全部股權。
於完成後，目標公司將不再為公司附屬公司而公司將不再擁有目標公司任何權益。於完成後，目標集團財務業績將不再併入集團綜合財務報表中。
目標公司為一間於中國成立的投資控股有限公司，並由賣方直接全資擁有。目標醫院為一間於中國成立的有限公司，並由目標公司全資擁有，及主要從事提供綜合醫院服務。
監於(i)目標集團的財務表現欠佳，以及目標集團的淨負債狀況；(ii)莆田人民政府的願景及使命無法實現；及(iii)目標醫院未能達成合作協議所載有關享受政府補貼的業績目標，莆田人民政府有權要求目標集團退還根據合作協議已支付予目標集團的所有補貼。
因此，莆田人民政府已要求無償向其轉讓目標集團，作為回報，彼等將提供墊款以清償目標集團的所有未償還債務。董事會經考慮(i)目標集團的虧損狀況及淨負債狀況；(ii)目標集團財務表現欠佳，且目標集團短期內將不太可能產生利潤；(iii)COVID-19疫情持續所帶來的不明朗性；(iv)上述出售事項的財務影響；及(v)買方根據出售協議提供的預付款將令目標集團償還其債務，並將減輕賣方的法律責任，而同時維護目標醫院的聲譽後，目標集團及目標集團董事認為，與集團繼續擁有及經營目標醫院的情況相反(誠如下文所解釋)，出售事項符合公司及股東整體的利益。
賣方已考慮可供選擇的不同方案，例如進一步注資及出售予其他買方。監於目前的市場情緒，短期至中期內難以物色到買方(經莆田人民政府同意)。由於賣方(一間投資控股公司)並無開展業務，倘不進行出售事項，則集團需向目標集團進一步注資，以支持營運及清償未償還債務。
然而，監於上文段落所述的原因，集團認為出售其於目標集團的投資予莆田人民政府及投入資源專注於其現有業務，而非向目標集團進一步注資，乃更佳的選擇。
