中國聯通(00762.HK)擬分拆智網科技於中國境內上市
格隆匯8月19日丨中國聯通(00762.HK)宣佈，公司正考慮建議分拆聯通智網科技股份有限公司("智網科技")於中國境內證券交易所獨立上市。倘公司進行建議分拆，將構成公司根據香港聯合交易所有限公司證券上市規則第15項應用指引進行的分拆。公司將盡快向聯交所提出第15項應用指引的申請。
據悉，智網科技於中國境內成立，現為公司非全資附屬公司(公司直接及透過子公司共持股約69.2%)，智網科技專注於車聯網領域，業務包括智能連接、智能運營及智能應用。針對智能連接業務，智網科技為滿足車聯網端對端系統關於高定製化、高安全性、高及時性等特殊需求，提供場景專屬的一體化智能連接服務，包括基於移動網絡的車輛智能連接業務及基於車雲聯網的雲網融合業務。針對智能運營業務，智網科技提供生態運營服務，引入車聯網流媒體內容及在線信息服務，豐富車聯網內容服務生態體系；提供客户運營服務，幫助車企及相關行業進行個人客户的互動服務；提供數字化運營服務，幫助車企提供TSP、大數據等平台及運維管理等工具，提高車聯網運營效益。針對智能應用業務，智網科技積極佈局5G、MEC、V2X等新一代信息技術應用研究，拓展賦能智慧交通的車路協同應用、車隊管理應用及面向個性化用户的智能座艙應用。
智網科技於2019年成功完成混合所有制改革，引入包括一汽股權投資(天津)有限公司、東風資產管理有限公司、廣州盈越創業投資合夥企業(有限合夥)等在內的戰略投資者。根據智網科技未經上市審計的財務數據，智網科技2020年全年營業收入約人民幣4.2億元，淨利潤約人民幣6,700萬元，截至2020年12月31日總資產約人民幣12.1億元。
公吿稱，建議分拆將加快提升和釋放價值：(1)智網科技在分拆上市後作為獨立上市公司，可以強化融資能力和運營靈活性，更好吸引人才和戰略伙伴，提升競爭力，加快業務發展和提升回報，更好釋放其價值；(2)分拆上市後，公司作為智網科技公司的控股股東，將可得益於其價值提升和釋放；(3)未來通過雙方戰略合作，強強聯合，優勢互補，促進雙方提速發展。
