卓郎智能(600545.SH)：德國卓郎和德國兩合公司的重整保護程序已經終止
格隆匯8月18日丨卓郎智能(600545.SH)公佈，由於公司的子公司 Saurer Netherlands Machinery Company B.V.(“卓郎荷蘭”)與 Rieter Holding AG(“立達控股”)簽署了出售資產的相關協議(詳見公司公吿，公吿名稱：卓郎智能關於子公司擬出售資產的公吿；公吿編號：臨 2021-032)，且根據協議，立達控股將預先向卓郎荷蘭支付3億歐元(約合23.4億元人民幣)收購款，上述資金中約2.45億歐元(約合人民幣19.11億元)將對 Saurer Spinning Solutions Management GmbH(即“德國卓郎”)和 Saurer Spinning Solutions GmbH & Co KG(即“德國兩合公司”)進行增資，用於償還其約3000萬歐的銀行貸款，超出部分將用於償還應付賬款，補充其流動資金，保障其正常的生產經營。根據德國重整保護相關法律規定，當提出重整保護的主要風險消除時，公司的管理董事應當撤回重整保護申請。鑑於，兩家德國子公司提出重整保護申請的原管理董事均已於2021年8月16日提出辭職，現任管理董事曾正平先生以公司與立達控股已簽署出售資產協議，後續在交易過程中可以獲得充裕的資金以償還德國卓郎和德國兩合公司的銀行貸款並保障其正常的生產經營為理由於2021年8月17日代表兩家德國子公司向德國地方法院提交了撤回重整保護的申請。公司於2021年8月17日晚間收到德國地方法院的裁定文書，德國卓郎和德國兩合公司的重整保護程序已經終止。
在德國卓郎和德國兩合公司終止重整保護，且與公司溝通不暢的原管理董事均辭職的情況下，公司重新取回了上述兩家德國子公司的控制權。目前上述兩家德國子公司現任管理董事為曾正平先生，公司會盡快委任新的管理董事，以完善上述子公司的公司治理架構。
前期為了獲取流動資金，終止兩家德國子公司重整保護程序，公司計劃將自動絡筒機、Temco專用軸承和 Accotex 橡膠件以3億歐元(約合人民幣23.4億元)出售給立達控股，若上述交易實施完畢，公司將不能再生產、銷售上述產品，將使公司銷售收入下滑。
