海鑫集團(01850.HK)獲Great Season、聯騰集團及任桂生折讓75.12%提收購要約 明日復牌
格隆匯8月18日丨海鑫集團(01850.HK)發佈公吿，公司獲聯合要約人（Great Season、聯騰集團及任桂生先生的統稱）通知，於2021年8月12日，聯合要約人與賣方Standard Dynamic及Smart Million訂立買賣協議，據此聯合要約人按下列方式按每股銷售股份約0.3333港元的價格自賣方收購合共6億股股份，佔於本聯合公吿日期公司已發行股本總額的75.00%。
完成不受任何條件限制，且已於2021年8月12日進行。緊隨完成後，各賣方不再於股份中擁有任何權益。於完成後，聯合要約人於公司投票權的權益合共增至於本聯合公吿日期公司已發行股本總額的75.00%。
根據收購守則規則26.1，聯合要約人須作出要約股份的強制性無條件現金要約，每股要約股份現金0.3334港元，較8月12日收市價每股1.3400港元折讓約75.12%。
要約截止後，聯合要約人表示，集團將繼續從事現有主要業務。聯合要約人計劃於要約截止後維持公司於聯交所的上市地位。
據悉，Great Season為一間於英屬處女羣島註冊成立的有限投資控股公司。於本聯合公吿日期，GreatSeason由GreatSeason唯一董事姜建輝先生全資擁有。姜先生，46歲，於金融服務及投資行業擁有逾多年經驗。彼為中國非銀行金融機構的總經理，主要從事（其中包括）放債、擔保及質押業務。姜先生被視為中國碳中和發展集團有限公司（股份代號：1372）的控股股東及順龍控股有限公司（股份代號：361）的主要股東，該等公司的已發行股份於聯交所主板上市。
聯騰集團為一間於英屬處女羣島註冊成立的有限投資控股公司。於本聯合公吿日期，聯騰集團由聯騰集團的唯一董事俞利雄先生全資擁有。俞先生，48歲，於採礦、金融及物業管理行業擁有逾25年經驗。彼為廣豐縣滑石發展有限公司（一間於中國主要從事滑石生產及銷售的公司）的創始人之一，且自2001年起擔任副董事長。彼亦於2007年擔任上饒市廣豐區鴻利典當有限公司（一間於中國主要從事金融業務的公司）的創始人。彼目前擔任菠蘿公寓（深圳）有限公司（一間於中國主要從事物業租賃及管理業務的公司）的創始人及經理。俞先生於2012年被選舉成為中國人民政治協商會議上饒市委員會委員。
此外，公司已向聯交所申請自2021年8月19日上午九時正起恢復股份買賣。
