黃河實業(00318.HK)擬不超1650萬港元收購TeamTech Digital 100％股權
格隆匯8月17日丨黃河實業(00318.HK)宣佈，於2021年8月17日，公司全資附屬公司VG Investment Assets Holdings Inc.作為買方與賣方Faith Honest International Co. Ltd(由李建和實益擁有)訂立股權買賣協議及戰略結盟合作，以向賣方收購TeamTech Digital Corporation100％股權，代價最高為1650萬港元。
據悉，目標公司主要從事經營其兩家擁有51%權益的營運附屬公司Team Soft及Four Directions Ecommerce的業務。賣方擁有TeamSoft 49%的股權，而李雪蓉擁有Four Directions Ecommerce 49%的股權。李雪蓉為賣方實益擁有人的胞妹。
Team Soft擁有並運營其企業團隊協作系統和軟件業務，為企業、組織和公共部門客户提供可自定、可擴展和可用私有、公共或混合雲端基礎設施上，以及專用內部伺服器安裝的獨家共享工作空間。這促使核心集成一系列日益增加的核心協作工具，幫助客户加速工作流程和提高生產力，以及加強安全保護功能，為客户面對安全挑戰提供所需可靠的數據管理、控制、可見性、靈活性和可擴展性，包括高級訪問權限、移動安全管理、數據庫所有權、數據丟失保護、滿足具有挑戰性的私人消息安全需求的安全靈活的即時消息應用程序，以及集成其他第三方應用程式和人工智慧(AI)產品。
Four Directions Ecommerce擁有並經營其在多個平台上運營的電子商務業務，並提供一系列產品，包括電子產品、家居用品、食品和雜貨。
目標公司成立不到一年，為投資控股公司，其附屬公司Team Soft成立不到一年，擁有及經營由賣方開發的企業團隊協作軟件。
公司預期，收購事項將幫助提升公司的業務營運及前景，其中原因包括：(a)本地和全球市場對團隊協作軟件和企業生產力工具的需求，(b)由於新冠疫情大流行和預計後疫情時期許多業務將要調整的"新常態"，客户對遠程互動的需求發生了結構性變化，遠程工作、在線團隊協作和網絡安全保護產生了變化，(c)在新冠疫情大流行之前及/或期間對先進數碼技術進行更多投資的許多企業的良好表現促使許多其他企業重新將業務重點放在數碼技術上，增加投資並加速採用具競爭優勢的技術，(d)目標集團的管理及運營團隊在智能技術解決方案、電子商務、移動和創新數碼解決方案方面的經驗，網絡及實力，以及(e)公司評估目標集團與集團通過將目標集團的團隊協作軟件應用到集團的科技平台以及通過集團的商業科技業務經驗為目標集團的團隊協作軟件業務和電子商務業務的運營中所創造的協同效益。買方與賣方亦希望通過將賣方的科技服務、產品和解決方案應用於集團的商業科技業務的科技平台、產品和服務，達成戰略聯盟合作。
