新紐科技(09600.HK)：擬以最高4.86億元收購一家基於雲的多功能通訊解決方案服務商
格隆匯8月15日丨新紐科技(09600.HK)公佈，2021年8月15日，公司擬向若干賣方收購目標公司Samton (Cayman) Holdings Limited的100%已發行股本，收購事項的最高代價為人民幣4.86億元(相當於約5.84億港元)。
代價將分三期支付，具體各期的代價價值、支付方式及支付條件如下：
收購事項的代價股份將按每股代價股份2.5575港元的價格發行，較最後交易日聯交所所報股份收市價每股股份2.75港元的相同價格折價約7.00%。
業績承諾賣方向買方承諾：目標公司在各業績承諾年度實現的合併口徑淨利潤及營業收入均不低於下表中列示的相應年度的淨利潤及營業收入水平：
公吿顯示，目標集團是一家中國領先的基於雲的多功能通訊解決方案服務商，主營業務是向企業客户提供SaaS智慧雲聯絡中心服務以及PaaS企業短信服務。其中SaaS智慧雲聯絡中心是利用互聯網、人工智能和雲計算技術，面向具有組建聯絡中心需求的企業客户，提供包括電話呼入等基礎功能的託管型呼叫中心服務以及辦公應用、企業內部管理、企業資料管理、智慧語音客服等企業資訊化增值解決方案服務；PaaS企業短信服務主要是指利用雲技術搭建自有的，能夠與運營商、第三方短信接口兼容的信息平台，並憑藉平台技術進行資訊安全過濾和通道選擇，及時、穩定、準確、合規地為客户發送身份驗證、提醒通知、資訊確認等觸發類短信彩信，以及客户基於最終用户真實需求發送的通知信息和消息推送等服務。
目標集團長期專注於解決方案的創新升級，以較強的業務能力、技術水準與企業客户服務經驗獲得了市場的廣泛認可。近三年內，目標集團提供的雲通訊解決方案已被廣泛應用於金融、醫療、電子商務、線上教育、物流快遞等約35個行業領域，服務的企業客户約15萬家；服務覆蓋的城市約350個，與近1800家中小管道商建立了業務合作伙伴關係。積累了一批優秀的大企業客户及金融、醫療行業的優質客户，並與中國移動、中國聯通和中國電信三大電信運營商的多家省市級分公司建立了長期友好的合作伙伴關係。
截至公吿日期，目標集團已獲得了中華人民共和國工業和信息化部頒發的《中華人民共和國增值電信業務經營許可證》、《電信網碼號資源使用證書》。經過12年的積累，目標集團在雲通訊領域已擁有了較為領先的技術創新及運營服務能力，獲得了包括國家中小企業公共服務示範平台、國家高新技術企業、江西省企業技術中心、省級專精特新中小企業、省大數據示範企業、省級服務業龍頭企業、博士後創新實踐基地等國家和省級榮譽評定。
正如公司在招股書中所述，公司計劃有選擇地尋求可能對現有業務產生互補或協同效應的收購及戰略聯盟，以鞏固公司在行業中的市場領先地位並打入新市場。公司認為，收購事項將補充集團的解決方案產品，使集團有能力為客户提供更為綜合性、一體化的解決方案，從而成為更具競爭力的解決方案提供商。同時，收購事項將進一步增強本集團的技術創新及SaaS運營能力，並通過有效結合目標集團的電信運營商資源及客户資源使公司以更具成本效益的方式擴大客户羣，從而快速推動集團的業務增長。
