泰山石化(01192.HK)：由法院作出清盤及委任臨時清盤人
格隆匯8月15日丨泰山石化(01192.HK)公佈，根據由公司百慕達律師通知，日期為2021年8月11日的法院判決作出將公司由百慕大法院清盤的命令。法院還命令(i)者香港Pricewaterhouse Coopers的Man Chun So和Yat Kit Jong，以及(ii)百慕達Pricewaterhouse Coopers Advisory Limited的James Ferris應獲委任為公司的共同及各別臨時清盤人。
參考公司之前的公吿(尤其是日期為2020年4月28日的公吿)，公司認為，Sino Charm的呈請債務(即可換股債券申索)是虛假和虛構的，且╱或應由公司有權向Sino Charm提出申索。公司已在香港對Sino Charm及其他應承擔責任的各方提起訴訟，包括但不限於公司前任管理層張偉兵、唐朝章。公司不同意Sino Charm為公司的債權人及╱或真正債權人，且公司遺憾地注意到百慕大法院接納了Sino Charm提出的這個依賴於該等虛假及╱或有疑問的申索呈請。
此外，公司強烈反對Marine Bright Limited(“MarinBright”)關於其持有公司555,000,000股優先股並作為公司債權人支持清盤呈請的指控。除2020年4月28日公吿中披露的Docile Bright Investments Limited(In Voluntary Liquidation)(“DBIL”)清盤人就優先股的所有權提出爭議外，公司經調查並取得法律意見，認為由DBIL向Marine Bright的所謂轉讓尚未完成和╱或應被視為無效，因為(其中包括)根據公司章程明確規定，優先股持有人須為廣東振戎能源有限公司聯署人士。Marine Bright從未成為廣東振戎能源有限公司的聯署人士，公司的調查結果顯示，Marine Bright Limited當時的股東兼董事為張偉兵(即公司當時的主席)的私人助理思博。根據公司的記錄，優先股的實益擁有人和持有人應為DBIL。在此基礎上，公司遺憾地注意到百慕大法院已在清盤呈請中考慮了Marine Bright Limited的觀點。
公司相信並希望清盤人及有關當局迅速採取行動，認真調查張偉兵、唐朝章、Sino Charm及Marine Bright在對公司的可換股債券、優先股及清盤呈請方面的相關事宜。公司正在就該判決尋求專業意見。在實際時間內作出迴應，包括但不限於對判決提出上訴。
