金科文化(300459.SZ)：與中傳金控簽署戰略合作協議
格隆匯8月13日丨金科文化(300459.SZ)公佈，公司與中傳金控(天津)股權投資基金管理有限公司(“中傳金控”)於2020年8月12日簽署《戰略合作協議》以達成戰略合作關係，雙方將充分發揮、利用各自的優勢和資源，展開戰略合作事項。
中傳金控成立於2014年1月，是全國第一支由中央級文化央企中國文化傳媒集團有限公司發起的，並獲得國家登記認證的文化股權投資基金管理公司，以投資文化旅遊、新媒體、科技產業、現代服務業為主，並可提供全面金融服務。中國文化傳媒集團有限公司是在整合文化和旅遊部傳媒資源和部分文化產業資源的基礎上，於2009年11月組建的中央大型國有文化企業，業務範圍涵蓋傳統報刊、新媒體、IP交易、藝術品市場、文化電商、影視製作、城市節慶、電影院線、會展廣吿、文化產業投融資、文化產業規劃設計、印刷等領域。
甲方：浙江金科文化產業股份有限公司，乙方：中傳金控(天津)股權投資基金管理有限公司；合作內容如下：
1、甲乙雙方一致同意，乙方運用集團及其自身優勢為甲方發展提供支持，包括但不限於與甲方在 IP 綜合運營、文化傳播、國內文化產業園、文化產業投融資等具體項目上展開合作，支持雙方共同認可的項目的研究和發展；協助甲方加強與行業主管部門、監管部門的溝通聯繫，使“會説話的湯姆貓家族”系列動畫視頻、電影、移動應用成為中國文化產品出口、文化出海的優秀載體和平台，在推動“一帶一路”、“網上絲綢之路”建設中承擔重要作用。
2、甲乙雙方一致同意，經雙方有權機構批准，在同等條件下，優先選擇對方進行資本和股權層面的合作，包括但不限於通過產業基金、合資公司等形式為甲方提供資金與業務支持，實現產業合作與項目落地；利用乙方及其關聯方的資源、優勢及影響力，協助甲方拓寬融資渠道，提高融資效率，降低融資成本；優化甲方股東結構，提升甲方的公司治理水平。
3、乙方及其關聯方將充分發揮自身的資源和優勢，協助甲方完善整體戰略規劃、落實戰略佈局，致力於在品牌推廣、公眾媒體宣傳等方面進行全面合作；雙方基於各自產業背景和專業優勢，在人才培養方面積極交流、合作，共同壯大人才儲備。
此次與中傳金控戰略合作事項是基於雙方充分發揮利用各自的優勢和資源，展開具體的戰略合作事宜，有利於公司聚焦以“會説話的湯姆貓家族”IP 為核心開展系列動畫視頻、電影、移動應用等移動互聯網文化業務，有利於提升優化公司在企業融資、股東結構、公司治理、品牌推廣、人才儲備等方面的規劃，促進公司未來可持續發展。
