SOHO中國(00410.HK)確認黑石旗下基金已向市監局提交併購審查申報相關文件及材料
SOHO中國(00410.HK)早前公布,獲黑石集團(BX.US)旗下基金Two Cities Master提出自願性有條件現金全購要約,涉資最多236.58億元。控股股東已承諾接納合共28.56億股要約,佔公司股本54.93%。
公司發出最新公告,指有關要約須待先決條件達成後方可作出。公司指出,自公告發出後,要約方已向中國國家市場監管總局提交併購審查申報相關文件及材料。自延遲寄發公告發出後,要約方已提供進一步文件及材料,以回應監管機構的要求。要約方於上周二(3日)再收到中國國家市場監管總局通知,要求按《中國反壟斷法》提交的申報正式立案審查。
公告表示,盡管該申報已獲正式立案,要約方及公司仍可能被要求提供進一步信息及材料,並指至今有關交易的先決條件並未獲達成。
