國電電力(600795.SH)：擬與國家能源集團進行資產置換 置入資產權益淨資產評估值達200.41億元
格隆匯8月7日丨國電電力(600795.SH)公佈，2021年8月6日，公司召開八屆二次董事會，審議通過《關於公司與國家能源集團進行資產置換的議案》。
根據戰略安排，公司擬與控股股東國家能源集團進行資產置換，公司向國家能源集團置出河北銀行19.016%股權，英力特集團51.025%股權;國家能源集團向公司置入山東公司100%股權、江西公司100%股權、福建公司100%股權、廣東公司100%股權、海南公司100%股權、樂東公司100%股權、海南能源銷售100%股權、海控新能源65.43%股權、湖南公司100%股權、寶慶煤電 90.49%股權、巫水水電 85.78%股權。公司向國家能源集團置出資產權益淨資產評估值76.78億元；國家能源集團向公司置入資產權益淨資產評估值200.41億元，置入置出資產交易差額123.63億元，公司將以現金方式支付給國家能源集團。此次資產置換最終交易價格將以淨資產評估值為基礎，按照經有權部門備案的評估結果確定。
此次資產置換，公司置出資產為金融、化工等非發電主業資產；國家能源集團向公司置入火電、水電等常規能源發電資產，根據《上市公司重大資產重組管理辦法》《關於規範上市公司重大資產重組若幹問題的規定》等有關規範性文件要求，公司將此次置入、置出(含12個月內甘肅、新疆轉讓資產)標的資產財務數據及評估作價情況與公司2020年度相關財務數據進行比較，未達到重大資產重組條件，不構成公司重大資產重組。此次交易是國家能源集團履行注資承諾的進一步體現，可以增厚公司每股收益，提升公司價值，進一步減少與國家能源集團之間的同業競爭。置換完成後，公司控股裝機容量淨增加1564.72萬千瓦，置入資產將填補公司在山東、江西、福建、廣東、海南、湖南等區域常規能源發電空白，提高公司在上述區域電力市場的佔有率，整體市場競爭優勢更加明顯，助力公司可持續發展。
