NOTICE OF TRANSFER OF BUSINESS In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong) NOTICE is hereby given that pursuant to the Asset Purchase Agreement dated July 28, 2021 (the "Purchase Agreement") between Hakuku Matata Company Limited, a company incorporated in Hong Kong whose place of business is at Room 1203, 12/F, W50, 50 Wong Chuk Hang Road, Hong Kong (the "Seller") and a) RGA M2B I LLC, a Delaware limited liability company (“RGA I”), RGA M2B II LLC, a Delaware limited liability company (“RGA II”), RGA M2B III LLC, a Delaware limited liability company (“RGA III”) and RGA M2B IV LLC, a Delaware limited liability company (“RGA IV” and together with RGA I, RGA II and RGA III, the "Buyer"), each with place of business at 801 Barton Springs Rd. Austin, TX, USA, 78704, the Seller has agreed to sell to the Buyer certain assets and liabilities in connection with its business of selling products through its brands on the Amazon marketplace (the "Business"), which has principally been carried out under the name of DoraDreamDeko, EmmasByEmma, Meant2ToBe and VeryMerryMakering (collectively, the “Brands”) at the address of Room 1203, 12/F, W50, 50 Wong Chuk Hang Road, Hong Kong. The sale of the Business pursuant to the Purchase Agreement became effective upon the execution of the Purchase Agreement which took place on July 28, 2021. Following the transfer of the Business, the Buyer intends to carry on the Business under the name of the Brands at the address of 801 Barton Springs Rd. Austin, TX, USA, 78704. At the expiration of one month after the date of last publication of this notice, this notice shall become complete and the Buyer shall not become liable for the debts and obligations arising out of the carrying on of the Business by the Seller by virtue of the Transfer of Business (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong) unless proceedings are instituted prior to such expiration.
