合縱科技(300477.SZ)：與華友控股將合作投資建設宜賓電池級磷酸鐵智能項目
格隆匯8月5日丨合縱科技(300477.SZ)公佈，公司近日與浙江華友控股集團有限公司(“甲方”、“華友控股”)簽訂了《戰略合作協議》，雙方將在合作投資建設宜賓電池級磷酸鐵智能項目、產業鏈合作、資本市場合作、業務交流等方面進行優勢互補、資源共享、共同發展。
公司全資子公司湖南雅城新材料有限公司(“湖南雅城”)致力於高端新能源材料的研發、生產及應用，是我國鋰電池正極材料前驅體磷酸鐵材料龍頭企業。湖南雅城主要產品為動力電池用磷酸鐵、四氧化三鈷、電池級氫氧化鈷等鋰電池正極前驅體材料，其中動力電池用磷酸鐵產能為6萬噸/年，四氧化三鈷產能為8000噸/年。同時，公司持有四川雅城新材料有限公司(“四川雅城”、“標的公司”)95%的股權，後者系宜賓基地5+5萬噸/年電池級磷酸鐵智能工廠項目投資、建設和運營的主體。
基於對乙方公司戰略及四川雅城磷酸鐵業務發展前景的認可，在甲方完成標的公司盡職調查並經甲方內部有權機構批准後，甲方或其指定方擬對四川雅城進行增資，增資後將同乙方及其他合作方共同實施項目建設。有關增資具體細則及安排將以後續《增資擴股協議》等相關協議約定為準。
第一期項目投產後，甲方及/或其關聯方應向四川雅城採購其所生產的磷酸鐵產品，採購量應不低於四川雅城產能的70%；同時，乙方保證四川雅城向甲方及/或其關聯方提供產能的 70%的磷酸鐵產品供應量。第二期項目投產後，採購合作參照第一期項目執行。
此次戰略合作協議的簽訂，預計不會對公司本年度的經營業績產生重大影響，但是有助於進一步完善公司鋰電新能源領域的戰略佈局，雙方通過對四川雅城投資及共建設產業基地等深度綁定合作模式為支點，構造共同價值鏈，符合雙方發展的戰略利益，符合市場的戰略需求。同時，將進一步推動公司在鋰電池正極材料前驅體制造領域的技術與市場領先地位，有利於促進公司鋰電池正極材料前驅體產能釋放與規模擴展，提升公司綜合競爭力，為公司長遠發展發揮積極作用。
