紅塔證券(601236.SH)：配股發行成功 明起復牌
格隆匯8月3日丨紅塔證券(601236.SH)披露公司配股發行結果公吿，本次配股以股權登記日2021年7月26日(T日)上海證券交易所收市後公司A股總股本3,633,405,396股為基數，按每10股配售3股的比例向股權登記日全體A股股東配售，共計可配售股份總數為1,090,021,619股。全體股東(含限售股股東)通過上交所交易系統以網上申購的方式進行配售。
經上海證券交易所交易系統主機統計，並經中國結算上海分公司提供的網上認購數據驗證，本次配股公開發行認購情況如下：
根據本次配股發行公吿，本次紅塔證券A股股東按照每股人民幣7.33元的價格，以每10股配售3股的比例參與配售。本次紅塔證券配股共計可配售股份總數為1,090,021,619股。
最終的發行結果如下：
1、股東配售結果截至股權登記日(2021年7月26日，T日)收市，紅塔證券A股股東持股總量為3,633,405,396股。截至認購繳款結束日(2021年8月2日，T+5日)，紅塔證券配股有效認購數量為1,083,382,346股，認購金額為人民幣7,941,192,596.18元。
2、承諾認購履行情況截至認購繳款結束日(2021年8月2日，T+5日)，紅塔證券控股股東雲南合和(集團)股份有限公司、公司實際控制人中煙總公司控制的其他股東中國雙維投資有限公司、雲南華葉投資有限責任公司、中國煙草總公司浙江省公司、昆明萬興房地產開發有限公司均履行了其全額認購的承諾，合計全額認購其可配股數647,545,584股，佔本次可配股份總數1,090,021,619股的59.41%。
3、本次配股發行成功
截至認購繳款結束日(2021年8月2日，T+5日)，紅塔證券配股有效認購數量為1,083,382,346股，佔本次可配股份總數1,090,021,619股的99.39%，超過了中國證監會《上市公司證券發行管理辦法》中關於“原股東認購股票的數量未達到擬配售數量百分之七十”視為發行失敗的認配率下限，故本次配股發行成功。
據悉，公司股票自2021年8月4日起復牌。
