FIT HON TENG(06088.HK)：Fortinet擬認購Linksys新股份 持股增至50.79%
格隆匯8月3日丨FIT HON TENG(06088.HK)發佈公吿，2021年8月2日，Linksys與Fortinet訂立購股協議，據此，Linksys同意向Fortinet配發、發行及出售新股份作為代價。新股份為Linksys的2,400,232股A系列優先股，佔其經發行新股份擴大後的全部已發行股本的21.25%，代價為8499.999萬美元。
截至本公吿日期，Linksys為公司的非全資附屬公司，由公司持有67.39%及由Fortinet持有32.61%。發行新股份後，Linksys將由公司持有49.21%及由Fortinet持有50.79%。Linksys屆時將不再為公司的附屬公司及Linksys的財務業績將不再併入公司的綜合財務報表中。
Linksys為於開曼羣島註冊成立的有限公司及主要經營互聯家居業務。 Fortinet為一家特拉華州公司，於納斯達克資本市場上市(納斯達克代碼： FTNT)。Fortinet為全球最大的企業、服務提供商及政府組織提供保障且於安全應用方面在全球排名第一。超過50萬名客户委託Fortinet來為其業務提供保障。
獨立董事委員會(由CURWEN Peter D先生、鄧貴彰先生及陳永源先生組成)已吿成立，以就建議交易向股東提供意見，及獨立財務顧問已獲委任，以就相同事宜向獨立董事委員會及股東提供意見。
建議交易通過向市場提供企業級的連接及保障以及向需要為其僱員提供無縫安全連接以便有效地開展居家工作的組織提供一流品質的服務，增強Linksys的競爭力。建議交易建立了一個利用Fortinet現有網絡安全客户的全球影響力及Linksys在零售及主要互聯網服務提供商中的可信賴消費者網絡產品的聯盟。例如，Fortinet及Linksys之間的合作已推出由Fortinet提供保障的產品“Linksys HomeWRK for Education”。該經濟實惠的解決方案使得學校可以向需要在家進行快速互聯網連接的學生分發具簡單數據計劃的免費硬件，故而彼等可以完成家庭作業並實現更佳學術表現的學習要求。
