天安(00028.HK)擬10.8億港元收購香港物業

格隆匯8月2日丨亞證地產(00271.HK)、天安(00028.HK)聯合發佈公吿,於2021年8月2日,亞證地產根據建議事項的條款就該交易與買方進盛投資有限公司(天安直接全資附屬公司)訂立買賣協議,據此,待達成該等條件後,買方應收購而亞證地產應促使BVI Holdco出售目標公司全部股份;及BVI Holdco將向買方轉讓股東貸款。該交易的代價為10.8億港元,且應於完成時由買方以電子轉帳方式付予BVI Holdco或其代名人。

作為該交易完成的條件,亞證地產和丹楓應就以下事項進行重組:(i)BVI Holdco由亞證地產直接全資擁有,而目標公司由BVI Holdco直接全資擁有;(ii)亞證地產向目標公司轉讓丹楓已發行股份總數;(iii)將丹楓的除外公司的該等股東貸款轉讓至亞證地產或其全資附屬公司;(iv)任何丹楓應付除外公司的有關金額應由亞證地產悉數結清;及(v)目前由丹楓持有的除外公司不包含在目標集團內。

目標集團從事物業控股及投資。目標集團的主要資產主要為亞證地產透過其於聯營公司的權益而持有的該等物業。

該等物業總共包括五項物業,即以下各項物業的部分:(i)位於鴨脷洲的港灣工貿中心;(ii)位於鴨脷洲的海灣工貿中心;(iii)位於大潭的紅山半島第一至四期;(iv)位於灣仔的帝后商業中心;及(v)位於油塘的華順工業大廈,及車位。亞證地產透過其於聯營公司的權益而持有的五項該等物業總建築面積約為1,359,000平方尺,目標集團應占總建築面積約為480,000平方尺。

此外,待亞證地產獨立股東於股東特別大會批准及完成發生後,亞證地產董事會將向於記錄日期名列亞證地產股東名冊的亞證地產股東宣派每股亞證地產股份0.95港元的特別股息。
