勝利精密(002426.SZ)：擬與恩捷股份及其關聯方設合資公司 其將圍繞3C消費電子和新能源等領域
格隆匯8月2日丨勝利精密(002426.SZ)公佈，為充分利用和發揮交易各方在智能製造和新能源領域的資源，深化合作力度和廣度，探索和實踐優勢互補、互利共贏的合作模式，公司於2021年8月2日召開第五屆董事會第十四次會議，審議通過了《關於公司與雲南恩捷新材料股份有限公司及其關聯方共同投資設立合資公司暨簽署<關於蘇州富強科技有限公司和JOT Automation Ltd 之收購框架協議>的議案》，同意公司與收購人簽署《關於蘇州富強科技有限公司和JOT Automation Ltd 之收購框架協議》， 收購人初步擬與公司共同出資設立合資公司，其中收購人持股65%(暫定雲南恩捷實際控制人李曉明家族成員持股32%，雲南恩捷持股10%，李曉明指定的第三方持有剩餘股權，具體的持股結構以及持股比例將根據實際情況進行調整)，公司持股35%，計劃未來通過合資公司收購富強科技100%股權和JOT 100%股權(以下合稱“標的公司”)，標的公司以2021年6月30日為交易基準日的整體估值約為8 億元人民幣，最終的收購方案，基於收購人的最終持股比例和股權架構，由各方最終協商確定。
合資公司將圍繞3C消費電子和新能源等領域，為客户提供定製化的智能製造整體解決方案；拓展在鋰電池隔膜生產設備製造及技術改造升級方面的業務。
此次簽署框架協議並共同設立合資公司，有利於公司聚焦主營業務，調整和增強在智能製造板塊的業務佈局、優化資源配置，進一步增強公司的綜合實力，對推進和落實公司中長期發展戰略規劃具有積極意義。
此次合作，旨在充分利用和發揮交易雙方在智能製造和新能源領域的資源和優勢，深化合作力度和廣度，推動智能製造業務的穩步發展，實現資源共享、優勢互補、合作共贏。同時，合資公司將圍繞3C消費電子和新能源等領域，為客户提供定製化的智能製造整體解決方案；拓展在鋰電池隔膜生產設備製造及技術改造升級方面的業務。
