同方股份(600100.SH)：擬與中國核電等6家企業發起設立中核燕龍
格隆匯8月2日丨同方股份(600100.SH)公佈，公司擬與中國核能電力股份有限公司(“中國核電”)、中國核工業華興建設有限公司(“中核華興”)、中國原子能科學研究院(“原子能研究院”)、中國原子能工業有限公司(“中國原子能”)、北京核澤惠世管理諮詢合夥企業(有限合夥)(“核澤惠世”)及浙江浙能電力股份有限公司(“浙能電力”)六家企業共同出資發起設立中核燕龍科技有限公司(暫定名，最終以市場監督管理部門核准名稱為準，“中核燕龍”)，註冊資本5億元，公司擬出資2500萬元，佔5%的股權。
由於中國核電、中核華興、中國原子能、原子能研究院為公司控股股東中國核工業集團資本控股有限公司(“中核資本”)的控股股東中國核工業集團有限公司(“中核集團”)的下屬控股子公司及事業單位，且核澤惠世為原子能研究院技術人員持股平台企業，系其一致行動人，此次交易構成關聯交易。
中核燕龍主要為推動核能供暖技術應用，實現泳池式低温供熱堆“演示驗證—示範工程—商業推廣”三步走發展戰略，以核能技術與創新為競爭力，推進和佔領泳池堆供暖及其核技術應用市場而設立。“燕龍”泳池堆是中核集團針對北方城市供暖需求開發的一種安全經濟、綠色環保的堆型產品，具有技術成熟、安全性高、零排放、廠址適應性強、不佔用發電指標、運維簡便、易退役等特點。
我國提出2030年前“碳達峯”和2060年前“碳中和”目標是統籌國內國際兩個大局的戰略決策。在實現“碳中和”目標的征途中，我國能源領域將發生革命性變化，風能、太陽能、生物質能、氫能以及核能等能源，成為未來重要能源。而智能化、數字化、互聯網的進步，能源革命將引發綠色、智慧能源時代到來，將成為第四次工業革命的支撐，從而徹底改變我國工業和社會用能生態。
核能供熱屬於戰略新興產業，泳池堆的二氧化碳排放為零，可以顯著降低二氧化碳和污染物的大氣排放，改善供熱區的空氣質量。此次參股投資燕龍是公司在國家碳達峯碳中和大背景下，以此為契機深度參與中核新能源項目的戰略投資，將充分發揮公司在熱網和智能控制方面的行業經驗和技術優勢與中核集團產生良好的協同效應。智慧能源也是公司未來發展的主業，參與組建中核燕龍有利於公司智慧節能產業板塊向上遊延伸，由“源-網”向“核-源-網”轉變，進一步鞏固公司行業領先地位。
