品渥食品(300892.SZ)：擬收購Pinlive-Hochwald 50%股權及對應股東貸款 預估新增200ml牛奶年產能3億支
格隆匯7月30日丨品渥食品(300892.SZ)公佈，Hochwald Foods GmbH (“Hochwald”)主要以資產出資設立Pinlive - Hochwald GmbH (“目標公司”)，主要用於為公司生產超高温滅菌牛奶，Hochwald持有目標公司100%股權。
公司擬通過新加坡全資子公司PINLIVE (SINGAPORE) PTE. LTD. (“品渥新加坡公司”)，以自有資金出資2150萬歐元，受讓Hochwald持有的目標公司50%股權及對應的股東貸款。
交易完成後，公司將通過品渥新加坡公司持有目標公司50%股權，原股東Hochwald持有目標公司 50%的股權。目標公司的200ml牛奶產能將全部獨家供應給公司。
目標公司由Hochwald 主要以資產出資設立，資產包括土地(佔地面積32128m²)、廠房(建築面積23520m²)及經營性資產(包括生產乳製品所需的儲奶罐、均質機、超高温滅菌設備、200ml 及 1L 利樂灌裝線、包裝及自動打託設備等)，年處理原奶量可達3 億升。目標公司資產最終確定價值為4300萬歐元。
品渥食品與Hochwald 建立合資公司，符合公司的長期發展戰略，有利於公司對上游的控制，進一步增強供應的穩定性，鞏固公司整體核心競爭力。此次合作對象Hochwald，為公司長期合作伙伴。Hochwald公司性質為奶農合作社，共有3246 户奶農，年處理生牛乳量高達23.1 億公斤，具有充裕的奶源供應合資公司。此次交易完成後，合資公司生產的200ml牛奶產能將全部獨家供應給公司，預估新增200ml牛奶年產能3億支。合資公司設立後，將根據中國市場的需求及公司戰略共同研發新產品，有利於公司新產品的快速推出，也為今後產能擴張奠定了基礎，對公司未來的經營質量及整體業績具有積極影響。
