百福控股(01488.HK)：聯營公司遇見小面獲碧桂園創投基金等增資 公司持股降至17.16%
格隆匯7月29日丨百福控股(01488.HK)宣佈，於碧桂園創投基金一注資後，時隔不到三個月，碧桂園創投參與投資的另一個基金("碧桂園創投基金二")對遇見小面進行另一次注資，而奇昕亦同意向碧桂園創投基金二出售其於遇見小面的部分股權。目前，與2021年3月2日時相比，遇見小面的估值已翻近三倍。
於2021年6月28日，遇見小面、奇昕、顧東生、高德福、碧桂園創投基金一、遇見小面其他現有股東及碧桂園創投基金二訂立股份轉讓及增資協議，據此(其中包括)進行下列事項：(i)奇昕同意出售且碧桂園創投基金二同意收購奇昕所持遇見小面若干股權("出售事項")；及(ii)碧桂園創投基金二及高德福各自同意認購遇見小面若干股權。
於公吿日期，股份轉讓及增資協議項下擬進行交易已完成。股份轉讓及增資協議項下交易完成後，集團於遇見小面之權益已由19.05%減少至約17.16%，而遇見小面繼續作為集團的聯營公司入賬。
公吿稱，遇見小面經營管理以重慶小面為主打食品的川渝風味麪館連鎖店。近幾年來，遇見小面在產品矩陣的打磨上堅持不斷創新，用豐富的產品以及高彈性的價格區間，滿足顧客全時段的消費場景。遇見小面直營店和加盟店於疫情期間也保持快速發展。來自注資的所得款項淨額將運用於遇見小面的數字化發展、品牌建設、門店拓展及供應鏈升級。
董事認為，中國餐飲行業處於發展機遇期，奇昕可適當收回前期投資成本，用於補充營運資金和尋找新的投資機會。同時注意到上文所述遇見小面之估值上升，公司同意向碧桂園創投基金二出售其於遇見小面的部分股權，藉此變現其投資的可觀收益，有關款項擬用作集團的一般營運資金。
緊隨完成後，集團仍然為第二大股東，於遇見小面約17.16%股權中擁有權益，並將繼續憑藉其根據遇見小面組織章程細則項下委任遇見小面三名董事當中一名的權力，能夠對遇見小面行使重大影響力。
