星雲股份(300648.SZ)：監事配偶窗口期違規買賣公司股票及短線交易
格隆匯7月28日丨星雲股份(300648.SZ)公佈，近日，公司董事會接到公司監事易軍生及其配偶楊麗出具的《關於窗口期買賣公司股票及短線交易的情況説明及致歉聲明》，公司獲悉監事易軍生的配偶楊麗於2021年6月16日買入300股公司股票，於2021年7月27日賣出300股公司股票，導致出現窗口期買賣公司股票及短線交易行為。
經核查楊麗證券賬户交易記錄，其買賣公司股票的交易情況如下：楊麗於2021年6月16日買入公司股票300股，買入價：30.69元/股，成交金額9207元；楊麗於2021年7月27日賣出公司股票300股，賣出價：41元/股，成交金額12300元。此次交易構成短線交易行為。
因公司擬於2021年8月25日披露2021年半年度報吿，楊麗上述賣出公司股票的行為違反了上市公司董事、監事和高級管理人員及其配偶不得在窗口期買賣公司股票的相關規定。
截至公吿披露日，楊麗持有公司股票200股。
根據《證券法》第四十四條規定，楊麗上述買賣公司股票行為所得收益作為本次短線交易的獲利金額已全數上交公司。 本次短線交易產生的收益為：賣出價41元/股×交易數量300股—買入價30.69元/股×交易數量300股=12300元—9207元=3093元。
此次違規買賣公司股票的行為均為楊麗本人操作，系其本人根據二級市場的判斷做出的自主投資行為，不存在利用公司內幕信息違規交易謀求非法利益的情形。上述行為發生後，楊麗已深刻認識到其行為違反了相關法律法規和深圳證券交易所業務規則的規定，易軍生及其配偶楊麗承諾將吸取教訓、引以為戒，今後將認真學習相關法律、法規，嚴格遵守相關規定，防止此類事件的再次發生。易軍生及其配偶楊麗現就本次交易構成的窗口期買賣公司股票及短線交易行為給上市公司和市場帶來的不良影響向廣大投資者致以誠摯的歉意。
