奧園美谷(000615.SZ)：擬以10.2億元出售京漢置業等公司股權 聚焦以醫療美容為主業的佈局
格隆匯7月27日丨奧園美谷(000615.SZ)公佈，公司通過在北京產權交易所以公開掛牌轉讓的方式對外轉讓標的資產。根據公開掛牌結果，此次交易對方確認為凱弦投資，根據凱弦投資與公司、公司控股股東奧園科星簽訂的《產權交易合同》，凱弦投資以現金方式購買標的資產，此次交易價格為10.2億元。
此次交易標的資產包括上市公司所持有的京漢置業100%股權、北京養嘉100%股權和蓬萊養老35%股權。
截至報吿書籤署日，上市公司持有蓬萊養老35%股權，華錄健康養老發展有限公司、北京易華錄信息技術股份有限公司和煙台市蓬萊區財金投資有限公司分別持有蓬萊養老36%、19%和10%股權，華錄健康養老發展有限公司、北京易華錄信息技術股份有限公司和煙台市蓬萊區財金投資有限公司均已放棄對本次擬轉讓的蓬萊養老股權的優先購買權。
此次交易前，公司主要從事以健康住宅開發為主的房地產業務、以新材料研發與製造為主的化纖新材料業務以及醫美相關業務。
其中，公司房地產業務主要通過此次交易標的京漢置業等子公司實施，並通過此次交易標的北京養嘉和蓬萊養老等子公司對健康養老業務進行戰略性佈局。以健康住宅開發為主的房地產業務是目前公司收入的主要來源。公司主要以京津冀為中心，逐步向西南、長三角、珠三角等全國範圍擴展，形成了包括普通住宅、商業綜合體、空港物流城、酒店等多產品覆蓋、多領域經營、多產業發展的綜合性業務鏈條。
2020 年6月以來，在奧園科星成為公司控股股東後，結合經營發展狀況，公司的業務佈局逐步進行調整，制定了以“綠色纖維新材料為基礎，上下游聯動，打造美麗健康”的戰略方向，向高端紡織品、醫美、健衞等應用領域進行拓展。2021 年以來，隨着公司完成對浙江連天美企業管理有限公司 55%股權的收購、依次與廣州暨南大學醫藥生物技術研究開發中心及相關方、大連肌源醫藥科技有限公司、西部優勢資本投資有限公司、KD Medical, co., ltd.等在高端醫美護膚產品、輕醫美類產品等方面簽署戰略合作協議，公司正式切入醫美賽道。
通過此次交易，公司將收縮房地產業務，優化資產結構，聚焦於以醫療美容為主業的業務佈局，進一步發展為美麗健康產業的材料商、服務商和科技商，增強公司核心競爭力。此次交易完成後，上市公司將集中資源，努力提升公司的可持續經營能力和盈利能力，提升上市公司價值，維護中小股東利益。 此外，此次交易亦有助於解決公司與控股股東及其關聯方現存的同業競爭問題。
