上緯新材(688585.SH)：美佳新材對原備案項目進行調整
格隆匯7月27日丨上緯新材(688585.SH)公佈，此前披露，公司於2021年4月29日召開第二屆董事會第八次會議審議通過了《關於公司對外投資的議案》，公司擬投資2.1億元購買安徽美佳新材料股份有限公司(股票代碼：831053，股票簡稱：美佳新材)定向發行股票5000萬股，交易完成後，美佳新材註冊資本由16000萬元增加至21000萬元，公司將持有美佳新材增資後約23.81%的股份。
公司於2021 年5 月25 日召開第二屆董事會第九次會議及第二屆監事會第七次會議，審議通過了《關於公司對外投資調整的議案》，公司調整為與美佳新材簽訂《股份認購合同》，並與美佳新材實際控制人王方銀、朱光蘭簽訂《關於<安徽美佳新材料股份有限公司股份認購合同>之補充合同》。
近日，公司收到美佳新材的《吿知及聲明》，為能更好的滿足未來安全環保方面可能存在的提標要求，並使產線設計合理可行、切實貼合美佳新材實際生產建設能力及各項方案落實和審批手續辦理順利的考慮，美佳新材管理層經審慎商酌，決定將原擬建“擴建年產20萬噸新型環保系列液態環氧樹脂生產線項目”(“原定項目”)變更為“擴建年產15萬噸系列環氧樹脂生產線項目”，變更後的生產項目已報蕪湖市繁昌區發展和改革委員會備案，重新取得的“發改吿知[2020]120 號”《企業投資項目吿知登記表》取代原定項目相同文號的《企業投資項目吿知登記表》。
美佳新材擬使用此次股票發行募集資金投資建設原定項目之第一期年產 5萬噸新型環保系列液態環氧樹脂生產線項目。前述原定項目變更備案事項對美佳新材此次向上緯新材發行股份募集資金投資項目不構成實質影響，美佳新材實際控制人將通過行使董事或股東表決權等方式及其作為實際控制人對美佳新材的影響力及控制力，確保美佳新材仍能夠依《認購合同補充合同》所述實現“年產5 萬噸液態環氧樹脂生產線項目”的建成、投產及供貨，每年可向上緯新材提供不低於3 萬噸之產能，上緯新材享有3 萬噸液態環氧樹脂的優先購買權不受影響。
美佳新材系基於安全生產、環保及生產建設能力綜合評估後，對原備案項目進行了調整，但不會對公司此次投資美佳新材的事項產生不利影響。公司此次對美佳新材的投資目的、投資金額等均未發生變化，故此次投資事項調整不會對公司財務及經營狀況產生不利影響，亦不存在損害公司及全體股東利益的情形。
