中教控股(00839.HK)擬24.46億元拿下成都錦城學院51%舉辦權
格隆匯7月26日丨中教控股(00839.HK)宣佈，於2021年7月26日，公司全資子公司Admiral One International Limited擬向賣方Lyandy Investment Limited收購目標公司隆興投資有限公司100%股份，總代價為人民幣24.46億元，其中人民幣16.76億元以現金支付及人民幣7.7億元由配發及發行5899.65萬股代價股份(佔經擴大後公司股份約2.53%)支付。
根據收購協議，賣方保證目標集團於2021年6月30日的淨現金不少於人民幣2.70億元。倘目標集團於2021年6月30日的淨現金少於保證金額，則保證金額與實際淨現金之間差額的51%將於完成時自現金代價人民幣16.76億元中扣除。
據悉，目標公司隆興投資有限公司主要業務為投資控股。其直接持有目標實體51%股權及間接持有目標學院51%舉辦權。四川錦城實業發展有限公司(目標實體之一)主要業務為投資控股(作為目標學院的舉辦者)及目標學院校區的物業開發。目標學院("四川大學錦城學院(轉設後名稱為成都錦城學院)")為位於中國四川省成都市的一所民辦本科高校。四川錦城至善科技有限公司(目標實體之一)為一家根據中國法律成立之有限公司，其主要業務為投資控股。
公吿稱，目標學院始建於2005年。作為一所由"985"大學共同舉辦的獨立學院，目標學院聲譽卓着，在最新的"《廣州日報》GDI應用大學(獨立學院)TOP100榜(2021)"中，目標學院在民辦獨立學院中排名全國第一。2020年其高考本科文科、本科理科、專科文科、專科理科錄取分數在獨立學院中均為四川省第一，而目標學院部分專業更是與國家重點大學一同在第一批次本科招生。
