美好發展(02662.HK)竭力重啟並擴展IP業務方面營運 繼續停牌
格隆匯7月22日丨美好發展(02662.HK)披露覆牌進展季度更新。
復牌指引
聯交所已於2019年8月及2019年10月載列下列公司的復牌指引：
(a)披露該公安分局刑事拘留羅女士的細節及其對公司財政及營運狀況的影響；
(b)闡明並無對管理誠信問題及╱或任何對公司管理及營運有重大影響力的人士給予合理監管，而這將為投資者帶來風險並損害市場信心；
(c)闡明其遵守上市規則第13.24條以保證股份繼續上市；
(d)澄清公司的現有股權架構；
(e)公佈所有重大資料，以供股東及投資者評估公司的狀況；及(f)刊發所有尚未刊發的財務業績及處理任何審核修訂。
復牌進展更新
於2021年4月22日，聯交所上市委員會審議公司的案件。公司接獲聯交所日期為2021年4月23日的信函，表示上市委員會決定拒絕公司延長復牌期限的要求，並根據上市規則第6.01A條取消公司的上市(“除牌決定”)。
根據信函，(i)上市委員會認為復牌指引第(a)、(d)、(e)及(f)段內容已履行或對公司履行上述內容時並無存在任何異議；及(ii)上市委員會認為復牌指引第(b)及(c)段內容未履行。
在尋求專業意見及適當考慮後，公司已於2021年5月3日提交正式請求，要求上市覆核委員會根據上市規則第2B章審核公司的除牌決定。
業務更新
集團的業務營運包括(A)IP授權及綜合服務，其包括提供有關(1)IP授權；(2)IP內容創作；(3)IP營銷的服務；及(4)主題活動服務；以及(B)IP衍生產品的銷售及分銷。
集團已繼續竭力重啟並擴展其IP業務方面的營運。於該公吿日期，集團已與獨立第三方客户訂立59份合約，其中大部分為長期業務合約，包括14份IP授權業務合約(不包括POW!)、7份IP內容創作業務的合約、15份IP營銷業務合約、1份主題活動服務合約及22份IP衍生產品的銷售及分銷合約。上述所有合約可確保產生合共不低於1.6億港元的收益，對集團業務至關重要。集團亦與多間領先的行業企業展開合作磋商，並已與創夢天地(1119.HK)的子公司及美圖公司(1357.HK)分別簽署合作協議，以共同開發IP相關產品。
此外，由於集團的業務及營運不斷擴大，集團一直在擴充員工隊伍。截至該公吿日期，集團受僱的員工總數為39(含董事)。董事會相信，集團整體而言擁有可行及可持續的業務，並將完全遵守上市規則第13.24條營運。
公司股份繼續停牌。
