澳能建設(01183.HK)擬與廣東智匯設合資 從事磷酸鋰離子電池研發及製造
格隆匯7月21日丨澳能建設(01183.HK)公吿，於2021年6月15日，公司的全資附屬公司自由充與獨立第三方廣東智匯訂立合作框架協議，內容有關於中國廣東省承接新能源動力電池業務的合資安排。
合資企業從事電動汽車行業的磷酸鋰離子電池的研發、製造、組裝及銷售服務，目前專注於供應及營運電動自行車換電系統業務，於中國具有龐大市場潛力。取決於未來發展需要，合資企業可能開拓新市場，包括大型備用電力系統、儲能電力系統及電動汽車電池系統。於本公吿日期，合資企業的換電系統正在處於最後測試階段，預期很快會推出市場。
合資企業的註冊資本為人民幣1000萬元。自由充將負責為合資企業注入合資企業的註冊資本，而廣州智匯將負責合資企業的研發、銷售及市場推廣業務。除自由充承諾的註冊資本人民幣1千萬元外，合資企業的資金需求將由自由充及廣東智匯分別出資70%及30%，或以訂約方可能協定的其他方式出資。自由充將以其內部資源撥付其資本承擔。自由充及廣東智匯的利潤分配比例分別為70%及30%，合資企業為公司的非全資附屬公司。
據悉，廣東智匯專注於新能源動力電池、城市分佈式微網儲配、智能充電櫃及動力電池換電系統技術，目標客户為電動汽車製造商、傳統汽車製造商、通信基站及儲能需求行業，特別是應用於低温地區的磷酸鋰離子電池及超低温啟動電池。廣東智匯通過10年動力電池研發經驗及生產技術積累，掌握了寬温磷酸鋰離子電池產業鏈中的多項核心技術及工藝創新技術，產品適用於新動力電池、汽車啟停系統、儲能電力系統、軌道交通電力、通信網絡等。磷酸鋰離子電池已成為廿一世紀最具發展前景的產品之一，以降低油耗及碳排放。
公司表示，大灣區為中國新能源汽車的開發及製造樞紐，亦為全球其中一個新能源汽車應用的領先地區。為應對如此龐大的新能源汽車市場，預期對新能源動力電池及電力系統的需求強勁。目前，中國約有3億輛電動自行車在使用中。隨着對方便安全的充電需求不斷增加，預期磷酸鋰離子電池應用的潛力很大。
集團在高壓變電站建設及系統安裝項目方面擁有豐富的專業知識，其一直為集團的主要業務之一。集團一直在探索新能源相關項目的新商機，並進一步擴大其業務範圍。董事認為，合資安排提供良好商機，可利用公司的優勢及資源進一步擴大其收入基礎及業務範圍。
