阳光城(000671.SZ):拟以61.45亿元收购永康项目公司股权 补充在浙江大区房地产项目储备资源
格隆汇7月21日丨阳光城(000671.SZ)公布,公司全资子公司杭州高光置业有限公司(“杭州高光置业”)拟以61.45亿元收购永康市智信企业管理有限公司(“永康市智信”)持有的金华虹光置业有限公司(“金华虹光”或“标的公司”)100%股权以及对标的公司的应收债权。
浙江卓诚兆业投资开发有限公司(“卓诚公司”)已进入破产重整程序,将以出售所属众泰小镇项目资产的方式进行重整。由卓诚公司管理人以土地及在建工程作价增资入股方式过户至由卓诚公司新设标的公司金华虹光名下。永康市智信参与标的公司的竞买,竞买成功后将金华虹光100%股权转让给杭州高光置业。


注:1、以上项目均位于浙江省永康市核心区位,已具备直接开发资质。2、地块一已开发建设,约300套商品房住宅已经全部销售完毕。正式协议签署后,阳光城浙江置业将承接地块一的代建义务。
以上项目房地产开发产品主要系商业及住宅。此次交易完成后,公司将按照公司房地产投资开发流程及相应法律法规投资上述项目的开发建设。
以上项目均已取得国有土地使用权证,地块二至地块四已取得建设用地规划许可证,截至公吿披露日,以上土地所属项目公司无就上述建设用地收到追究开发建设滞后违约责任通知的情形,亦无因闲置土地行为被处以行政处罚或正在被(立案)调查的情形。
董事会认为,公司坚持实施“三全”投资战略,形成了二线以上城市全覆盖、辐射机会型三四线城市的优质城市带布局,并灵活利用并购等手段多元化、有节奏地获取新的项目资源。此次收购项目质地优良,估值合理,无重大法律瑕疵,此次交易完成后,公司将补充公司浙江大区房地产项目储备资源,并可以快速实现销售,助力公司进一步实现发展。此次收购事项所涉估值对象已经具有证券期货相关业务评估资格的评估机构进行估值,选聘的评估机构具有独立性,估值假设前提合理,估值方法与估值目的具有相关性,估值结果作为定价参考依据具有公允性,且对照标的公司核心资产在产权交易所的公开转让对价,估值水平亦较为合理。
