成都高速(01785.HK)：控股股東中標高速公路項目建設運營
格隆匯7月21日丨成都高速(01785.HK)公佈，根據公司與控股股東成都交通投資集團有限公司("成都交投")訂立的《避免同業競爭協議》，成都交投承諾，成都交投及其附屬公司(集團除外)於《避免同業競爭協議》生效期間不會且促使其聯繫人不會，直接或間接個別或與其他實體共同從事或協助從事或參與任何與公司在四川省的主要業務構成競爭的業務。倘成都交投及其附屬公司(集團除外)發現任何與公司主要業務直接或間接構成或可能構成競爭的新業務機會，彼須以書面形式通知公司，以便公司考慮是否接受該等新業務機會。
公司前期收悉成都交投來函，詢問公司是否行使上述相關權利，以與其他投標人組成聯合體參與(i)G7611線西昌至香格里拉(四川境)、(ii)西昌至寧南、及(iii)會理至祿勸(四川境)等三條高速公路打捆項目("該項目")，聯合體各方將共同成立項目公司("項目公司")負責該項目的投融資、建設管理與運營。
經過對該項目的分析後，公司全體獨立非執行董事認為：(i)公司擬專注於收購或投資有合理投資回報率的高速公路項目，該項目雖有一定的盈利能力，但其投資回報率較低；(ii)該項目估計在最長不超過30年的運營期中的前10年處於虧損狀態，如公司投資該項目，公司預計將承擔長期持續的項目虧損且虧損金額將嚴重影響公司業績；以及(iii)按照該項目總投資額、公司預估參與的投資比例以及項目公司註冊資本為項目總投資額的20%估計，若公司參與該項目，預計僅項目公司註冊資本金須出資約人民幣22.7億元(且後續還可能對該項目的債務融資部分承擔擔保責任)，這將對公司現金流造成較大壓力，且對公司後續資金籌措能力產生重大影響。
綜合考慮上述因素，公司全體獨立非執行董事決議公司暫不參與該項目的投資建設與運營，但公司有權隨時行使根據《避免同業競爭協議》所享有的收購選擇權、優先購買權等權利。
公司近日獲悉，由四川省鐵路產業投資集團有限責任公司為牽頭人組成聯合體，成都交投與成都建工集團有限公司、四川公路橋樑建設集團有限公司、廣西路橋工程集團有限公司、四川川交路橋有限責任公司、四川路橋盛通建築工程有限公司作為聯合體成員參與了該項目的投標並以人民幣552.52億元中標G7611線西昌至香格里拉(四川境)高速公路項目，以人民幣290.0001億元中標西昌至寧南、會理至祿勸(四川境)高速公路項目。如公司就該項目行使《避免同業競爭協議》項下的有關權利，公司將根據適用的法律法規及香港聯合交易所有限公司證券上市規則履行適當的審批程序及披露要求。
