希望教育(01765.HK)獲得內蒙古大學創業學院舉辦者權益及訂立投資辦學協議
格隆匯7月20日丨希望教育(01765.HK)公吿，普瑞晨公司於2021年3月22日經教育部同意成為目標學校內蒙古大學創業學院兩位舉辦者之一（另一位舉辦者為內蒙古大學），目標學校已於近期換髮新的辦學許可證。目標學校、普瑞晨公司及內蒙古大學正進行目標學校轉設相關事宜。
於2021年7月20日，四川署瑞、普晨農牧及普瑞晨公司簽署投資辦學協議，約定四川署瑞總投資人民幣8億元，(i)將目標學校轉設為由普瑞晨公司獨立舉辦的民辦普通本科高校，及(ii)收購普晨農牧持有的普瑞晨公司49%股權，以達致目標公司內蒙古普瑞晨教育科技有限公司成為由希望教育（公司並表附屬實體之一）全資擁有公司的目的。相關投資款將用於目標學校新校區建設（包括徵地、校區建設及設施設備投入等）、償還目標學校債務、普瑞晨公司及目標學校權益轉讓對價、轉設相關費用及目標學校未來發展所需資金等。據此，公司將間接獲得目標學校舉辦者權益。目標學校將成為公司的間接附屬公司，而目標學校的財務業績將綜合入賬至集團的綜合財務報表。
目標學校是一間由內蒙古大學及普瑞晨公司為舉辦者的學院。2008年開始招收本科學生，位於中國內蒙古呼和浩特市。是一所以現代傳媒、文化創意為特色，以商學為重點，文、理、工、經、管、藝多學科協調發展的高等教育院校。於本公吿日期，目標學校目前設置28個專業，擁有約8,554名學生。
公司表示，目標學校位於內蒙古呼和浩特市核心區域，毗鄰南湖濕地公園和內蒙古大學南校區，環境優美、交通便利，地理位置優越。同時，目標學校是內蒙古當地唯一兩所民辦高等院校之一，具有非常稀缺的品牌價值。此次收購事項，是公司在內蒙古這一新區域的首次佈局，進一步拓展了公司的學校網絡及加大市場滲透率。同時，也將通過招生、教學等方面的聯動，以及與集團的其他院校之間的協同，改善辦學檔次，豐富專業設置，為當地輸送更多優質的高等教育資源，服務產業建設。
