九鼎新材(002201.SZ)與正威金控擬收購九方迅達和中科迪高各不低於51%股權
格隆匯7月20日丨九鼎新材(002201.SZ)公佈，公司擬與正威金控作為共同受讓方，天健九方作為出讓方，三方簽署《股權收購意向協議書》，公司與正威金控擬以現金方式收購天健九方持有的銅川九方迅達微波系統有限公司(“九方迅達”)不低於51%的股權和天健九方持有的中科迪高微波系統有限公司(“中科迪高”)不低於51%的股權。
值得注意的是，此次簽署的《股權收購意向協議書》約定，交易對手方擬將“Ka波段低軌衞星收發模組”、“智慧燈杆5G毫米波收發模組”、“5G毫米波CPE”等相關業務訂單及對應的SIP封裝多功能芯片產品及知識產權等注入標的公司，以便其能成體系地併入公司的主營業務；同時，交易對手方簽署正式股權轉讓協議時，將對標的公司未來四年(2021年內剩餘時期及2022-2024等三個完整的會計年度)業績進行承諾，其中2021年內剩餘時期實現淨利潤人民幣1億元，2022-2024等三個完整的會計年度分別實現淨利潤不低於人民幣5億元、7億元和10億元。
交易對手方收到的來自於公司和正威金控的關於標的公司的股權轉讓款的60%將用於以其名義對公司股票的增持，所增持的股份作為其完成標的公司業績承諾的保證。該目標計劃目前不構成公司對投資者的實質承諾。
公司已於2019年12月變更實際控制人為王文銀，現確立了“梳理優化老資產”、“併購整合新資產”和“研發實現新突破”的資產置換與資本併購策略。正威金控作為公司的控股股東的關聯方，將憑藉其世界500強旗下企業的強大產業佈局與配置能力，支持公司實施並完成資產置換與資本併購事宜。
公司與正威集團將在智能芯片、毫米波高頻半導體和特種集成電路領域保持聯動，聯手通過“股權收購+增資”的方式對天健九方旗下的相關標的公司實施併購，通過向公司注入高端毫米波芯片、模組、天線及應用系統等相關業務，着力提升公司的盈利能力，並有步驟地剝離、置換公司現有的難以契合經濟新常態形勢的資產。
天健九方旗下天健九方(西安)亳米波設計研究院有限公司擁有高端毫米波芯片、模組、天線及應用系統的自主知識產權；具有毫米波芯片、模組、天線和應用系統的自主設計研發能力和自主生產製造能力，其Ka波段、E波段、W波段毫米波核心技術及亳米波全系列芯片技術具有競爭力的優勢。
天健九方有意引進公司和正威金控作為戰略投資夥伴。在正威金控通過成都海威華芯科技有限公司(“海威華芯”)佈局電子芯片領域時，天健九方欲藉助正威集團的產業佈局能力，加快在毫米波高頻半導體領域的擴張。
