華僑城(亞洲)(3366.HK)訂立合夥協議成立基金 深化文旅科技領域投資 業務轉型再升級
(2021年7月19日，香港) 華僑城(亞洲)控股有限公司(“華僑城(亞洲)”、“本公司”，連同其附屬公司統稱“本集團”，股份編號：3366.HK)欣然宣佈，於2021年7月19日，本集團訂立合夥協議以成立南通蘇錫通紫荊華鑫創業投資基金(有限合夥)。
根據協議，所有合夥人對基金認繳出資總額為人民幣10億元。深圳市華僑城華鑫股權投資管理有限公司(“華僑城華鑫”)、深圳華僑城港亞控股發展有限公司(“深圳華僑城港亞”)、南通紫荊華通企業管理有限公司(“紫荊華通”)、南通市產業投資母基金有限公司(“南通產業”)、南通蘇通科技產業園控股發展有限公司(“南通蘇通”)及義烏市金融控股有限公司(“義烏金融”)認繳的出資額將分別為人民幣1000萬元、3.9億元、1000萬元、3億元、2億元及9000萬元。華僑城華鑫將為基金的普通合夥人、執行事務合夥人及管理人，紫荊華通將為基金的普通合夥人及執行事務合夥人，深圳華僑城港亞、南通產業、南通蘇通及義烏金融將為有限合夥人。
基金主要投資於科技、文化、旅遊、大眾消費等領域的子基金及可帶來高回報的合作投資項目，不少於75%的投資基金將投資於新設立的子基金，其中主要包括：(1)國內頂級綜合性子基金；特色產業子基金，重點投資於先進製造業、醫療健康、能源環保、信息技術等戰略性新興產業的子基金；(2)作為共同投資者，透過直接投資方式參與基金所投資的項目。
華僑城華鑫和深圳華僑城港亞為本公司間接全資附屬公司。華僑城華鑫主要從事股權投資、基金管理、投資管理及委託資產管理/投資及企業管理諮詢。深圳華僑城港亞主要從事投資控股及企業管理諮詢。紫荊華通主要從事企業管理及信息諮詢服務。南通產業由南通市人民政府、南通市人民政府國有資產監督管理委員會、南通市財政局及江蘇省財政廳擁有，主要從事股權投資、風險投資及投資管理。南通蘇通由南通市人民政府全資擁有，主要從事基建投資、酒店管理及物業發展。義烏金融由義烏市國有資本運營有限公司全資擁有，主要從事政府股權投資、資產管理、投資管理及投資諮詢。
華僑城(亞洲)控股有限公司董事會表示：“本次成立基金是本集團業務轉型道路上邁出的重要一步，該基金將涉及科技、文化、旅遊、大眾消費等具有發展潛力的領域，有助本集團增加優質項目資源儲備，進一步豐富投資組合，強化資源整合與協同能力，從而獲得持續盈利的源動力。此外，本集團全資附屬公司亦於近日獲得香港證監會第4類‘就證券提供意見’及第9類‘提供資產管理’牌照，獲批於境外開展資產管理和投資顧問等多元化金融服務。本集團於境內外基金管理領域的持續加碼，將助力本集團形成優質跨境資管能力，在文旅城鎮化產業生態圈跨境投融資領域取得突破性進展。”
