國華(00370.HK)攜手北京雅辰參與廣東河源源城區源西街莊田村重建項目

格隆匯7月19日丨國華(00370.HK)公吿,於2021年7月19日,中海航廣東、國華建業(公司間接全資附屬公司)、中經天圓及目標公司訂立合作協議,據此(其中包括),國華建業及中經天圓各自同意收購及投資目標公司最多35%股權。根據合作協議,就有關收購及投資而言,(i)國華建業及中經天圓同意向目標公司支付總額人民幣1億元及(ii)國華建業及中經天圓各自同意向中海航廣東支付人民幣500萬元。

就合作協議而言,於2021年7月19日,國華建業與北京雅辰訂立雅辰合作協議,據此,訂約方同意(其中包括)(i)國華建業於合作協議項下義務及責任(包括所有付款及出資責任)須由北京雅辰承擔,(ii)國華建業於合作協議項下享有所有股東權利及權益將屬於北京雅辰,及(iii)國華建業將為該項目提供項目發展及管理服務。

經作出一切合理查詢後,就董事所深知、盡悉及確信,目標公司主要從事房地產項目投資、發展及營運;城市基建建設;棚户區重建項目投資;水利、水力發電及運輸基建建設;及投資、建設及營運文化及旅遊項目、港口和碼頭。

該項目為廣東省河源市源城區源西街莊田村重建項目,且為河源市"三舊"重建示範工程。重建區位於新豐江兩岸,北靠寶源二路,南靠新豐江。該項目規劃面積約為800,000平方米。該項目將主要專注於住宅及商業開發,包括酒店及公園等地標設計及結構。

該項目為河源市"三舊"重建之示範工程。除了開發住宅及商業用地外,該項目包括對該地區的整體多方位改造,包括酒店及公園等地標設計及結構。因此,集團認為該項目具有巨大的發展潛力。中海航廣東自二零一八年十月起就該項目進行大量地面工程,並與河源市源城區政府及其所屬地方經濟組織簽訂一系列協議。集團認為,目標公司將能夠利用合作協議其他訂約方的豐富資源及其在城市發展方面的豐富經驗,為該項目的運營創造協同效應。
