民生教育(01569.HK)：擬收購小愛科技51%股權 形成“招培就”一體化教育服務平台
格隆匯7月18日丨民生教育(01569.HK)董事會宣佈，2021年7月16日，公司合併附屬實體世紀寬高訂立股權投資協議，擬以人民幣6318.50萬元收購北京小愛智能科技有限公司(“小愛科技”)合共44.7964%的股權。
根據股權投資協議，在世紀寬高取得目標股權且該等股權在市場監督管理部門完成變更登記備案後，世紀寬高向小愛科技支付增資款人民幣1688萬元(連同世紀寬高收購目標股權，合稱“收購事項”)。總價款不超過人民幣8006.5萬元。交割完成後，世紀寬高將持有小愛科技51%的股權。
談華芳及寧波小愛向世紀寬高承諾，截至2021、2022及2023年12月31日止三個年度，經世紀寬高指定的國際四大會計師事務所之一按照國際會計準則審計，小愛科技合計扣除非經常性損益税後淨利潤(不含小愛科技與世紀寬高及其關聯方因業務合作而產生的淨利潤)不低於人民幣1500萬元。
公吿顯示，小愛科技是一家主要為人力資源行業提供SaaS服務的互聯網公司，為人力資源服務公司、用人單位和個人提供三方在線人力資源服務平台，平台通過現代信息技術手段提高服務效率，降低服務成本。
小愛科技的未經審計營業收入從截至2018年12月31日年度約人民幣132.7萬元增長至截至2020年12月31日年度約人民幣1167.3萬元，年度複合增長率約為196.6%，營業收入迅速增長。
小愛科技運營的網站平台(https://www.workai.com.cn)，目前入駐的人力資源企業近700家，入駐的用人單位約10800家，積累了約300萬人的用工池。
公司按照教育部倡導的“招培就”一體化人才培養要求，不斷優化升級業務模式，從傳統的“校園教育＋在線教育”向“招生－測評－教育教學－實習實訓－考試－就業”一體化、全鏈條、端到端、全閉環的“互聯網＋”教育綜合服務平台升級。小愛科技是一家人力資源SaaS服務平台互聯網公司，具備較先進的科技元素和互聯網企業運營經驗，為公司現有的線上線下招生、教學、實訓、考試服務補充了就業端，形成了人才培養閉環，為下一步公司搭建專業的“互聯網+”教育綜合服務平台以及構建開放、互惠、共贏的行業生態奠定了較好的基礎。
