中滔環保(01363.HK)：已就前主席兼前執行董事徐湛滔涉嫌挪用集團資金向香港警方報案
格隆匯7月16日丨中滔環保(01363.HK)公佈，公司已於2021年7月12日就公司前主席兼前執行董事徐湛滔(已於2020年4月8日辭任)涉嫌挪用集團資金向香港警方報案。
於公司截至2018年及2019年12月31日止財政年度的審核過程期間，公司當時審核委員會成員獲公司核數師吿知，彼等觀察到大額資金自2018年起在未獲妥善授權的情況下多次由集團不尋常地轉賬至以徐湛滔以及受彼控制的公司名義於香港及中國內地開設之銀行賬户。經收集相關資料及諮詢公司前法律顧問後，當時審核委員會成員(亦為由公司當時的獨立非執行董事組成的當時獨立調查委員會成員)已於2020年11月中委任外部調查代理人("外部調查代理人")，以進一步調查涉嫌挪用。於2020年12月初，外部調查代理人就涉嫌挪用發出調查報吿，並隨即向時任董事會成員彙報。於2020年12月初舉行的董事會會議上，外部調查代理人於調查報吿中的推薦建議已彙報至時任董事會成員，當中包括向徐湛滔進行查詢或發出償還上述資金的催繳函以及採取法律行動，例如向徐先生提出索償或就涉嫌挪用向香港警方報案。時任董事會成員認為，於該時間點，其應採取適當的跟進行動，包括首先向徐先生髮出催繳函以嘗試追回上述資金等法律行動。董事會其後會在收到徐湛滔對該催繳函的初步迴應後考慮採取進一步行動。
在黃青於2021年4月19日辭任公司董事之後，董事會現任成員委聘法律顧問就涉嫌挪用提供意見，並就償還上述資金向徐先生採取法律行動。經考慮現有法律顧問的法律意見以及於2021年6月1日舉行的董事會會議所作出的決議，公司於2021年7月12日就涉嫌挪用向香港警方報案。於公吿日期，大部分涉嫌挪用的資金並未償還予集團。公司將知會其股東及投資者有關此事宜的任何重大進展，並將適時根據上市規則另行刊發公吿。
此外，公司股份繼續停牌。
