杭蕭鋼構(600477.SH)：擬以現金對合特光電增資3500萬元 其將繼續研發和推廣光伏建築一體化產品和服務
格隆匯7月16日丨杭蕭鋼構(600477.SH)公佈，在“30·60 碳達峯·碳中和”國家發展戰略導向下，公司基於“成為世界一流的綠色建築集成服務商”的戰略願景目標，為積極推進產業鏈佈局，經公司管理層調研及審慎研究，擬與張羣芳、浙江合特光電有限公司(“合特光電”)簽訂《增資擴股協議》，同意公司以現金方式對合特光電進行3500萬元的增資。張羣芳以無形資產(“高效柔性晶硅薄膜太陽能電池及組件產業化關鍵技術”，根據江蘇五星資產評估有限責任公司出具的評估報吿【蘇五星評報字(2021)074號】，該無形資產以2021年5月31日為基準日的評估價為3528萬元，作價總計3162萬元)出資方式參與此次對合特光電的增資。
此次增資擴股完成後，合特光電註冊資本增至6862萬元，公司將持有合特光電51%的股權，張羣芳將持有合特光電49%的股權。
合特光電將成為公司合併報表範圍內的控股子公司。為實現BIPV(光伏建築一體化)項目產業化，公司有權在此次增資擴股完成後，設立BIPV子公司，擬註冊資金2億元，公司持有BIPV子公司80%股份，合特光電持有20%股份。
合特光電，成立於2014年1月16日，註冊資本1000萬元人民幣，由張羣芳100%持股，系國內光伏發電研發及應用企業，圍繞光伏發電技術及應用產品展開科研攻關，陸續推出光伏發電應用系列產品，主要涵蓋智慧建築系列產品如光伏發電地磚、光伏發電玻璃幕牆、光伏發電屋面瓦，以及智慧交通系列產品如發電隔音障、發電眩暈板等。
張羣芳，系合特光電總經理，中國科學院研究生院凝聚態物理專業，法國綜合理工大學博士後，擁有18年太陽能相關技術開發經驗，研究領域涉及各種高效太陽能電池和組件技術、綠色建築和綠色交通領域太陽能應用產品等。
此次增資完成後，合特光電將繼續研發和推廣光伏建築一體化產品和服務。此次投資屬於公司在產業鏈上的延伸和拓展，符合公司的戰略發展方向，對公司的長期發展具有積極影響。
