中銀絨業(000982.SZ)：擬在上海開展二輪及三輪電動車換電業務
格隆匯7月15日丨中銀絨業(000982.SZ)公佈，為實現“羊絨業務+實業投資”雙主業戰略發展方向，公司於2021年3 月從新能源鋰電池材料為切入點進入新能源行業，截至目前已實施了新能源鋰電池正極材料磷酸鐵鋰項目、負極材料石墨化加工項目的投資、生產及運營。通過對新能源行業的調研，公司認為新能源下游應用端市場具有良好發展和成長空間，擬開展新能源應用所涉的二輪及三輪電動車更換電池業務(“換電項目”)，以擴寬、協同產業鏈條，增強公司的盈利能力，提升公司可持續發展能力。
公司擬在上海開展二輪及三輪電動車換電業務，分別設立資產持有平台及換電業務運營公司，資產持有平台將自持換電櫃、電池等固定資產並以租賃的方式交付換電業務運營公司經營。具體如下：
1、公司以自有資金5400萬元人民幣設立全資子公司上海叁凌能源管理有限公司(最終以工商核准為準，“上海叁凌”)，作為公司開展換電項目的全資資產持有平台，根據換電業務運營平台公司的方案相應定製、購買換電櫃、電池組等固定資產。
2、公司與上海懿烯電源科技有限公司(“懿烯電源”)合作設立上海奧翰智能科技合夥企業(有限合夥)(以工商核准為準，“奧翰智能”)，並以此投資換電業務運營公司。奧翰智能註冊資本為510萬元人民幣，其中公司全資子公司北京君蘭投資有限公司(“君蘭投資”)為GP及執行事務合夥人，君蘭投資認繳5.1萬元，佔1%份額；公司擔任LP1，認繳402.9萬元，佔79%份額；懿烯電源為LP2，認繳102萬元，佔20%份額。
3、奧翰智能與上海奐電智能化科技有限公司(“上海奐電”)合作設立換電業務運營公司上海玖捌貳物聯科技有限公司(以工商核准為準，“玖捌貳物聯”)，玖捌貳物聯向資產持有平台上海叁凌租賃換電櫃、電池組等固定資產實施換電業務，包括相關換電櫃鋪設及運營等。玖捌貳物聯注冊資本1000萬元，其中奧翰智能認繳出資510萬、持股51%，上海奐電認繳出資490萬、持股49%，雙方同比例實繳到位。
