龍潤茶(02898.HK)：聯交所譴責公司及多名董事
格隆匯7月14日丨龍潤茶(02898.HK)公吿，聯交所上市覆核委員會譴責：該公司(i)未有遵守主要和關連交易中有關彙報、公吿、通函及股東批准的要求；(ii)未有確保該公司於其截至2016年9月30日為止六個月的中期業績（2016中期業績）內的財務資料在各重要方面均準確完備，且沒有誤導或欺詐成份；(iii)延遲發佈及/或寄發7套財務報表及/或報吿（欠缺報吿）；及(iv)未有解釋其為何偏離了上市規則附錄十四的《企業管治守則》的條文（守則）。
及進一步譴責：該公司現任執行董事及主席焦家良博士；該公司現任執行董事焦少良先生；該公司現任執行董事、副主席及行政總裁葉淑萍女士；該公司現任執行董事何文博士（又名陸平國）；該公司現任獨立非執行董事郭國慶先生；該公司現任獨立非執行董事郭學麟先生；該公司現任獨立非執行董事林紹雄先生；及該公司現任獨立非執行董事劉仲華博士違反了下述責任：(i)《上市規則》第3.08(a),(b),(d)及(e)條（只限焦博士及焦先生），和第3.08(f)條；及(ii)根據上市規則附錄五B向聯交所做出的董事的聲明及承諾（《承諾》），未有盡力遵守上市規則以及未有盡力促使該公司遵守《上市規則》。
及進一步指示根據《上市規則》第2A.09(7)條發出公開聲明，即基於焦博士及焦先生故意及/或持續不履行其於《上市規則》下的責任，聯交所認為其若繼續留任會損害投資者的權益。
據悉，2016年9月1日，焦博士及焦先生促使該公司的附屬公司（附屬公司）與一名借款人（借方）簽訂了貸款協議，根據協議附屬公司同意向借方提供不多於1億4千萬人民幣的短期過渡性貸款以投資龍潤茶產品。同一日，借方與一名由焦博士及焦先生所擁有的關連人士（供應商）簽訂了茶葉儲存協議。在儲存協議下，供應商同意提供兩年免費存放服務來存放借方投資的龍潤茶產品。
該公司指，各方同意貸款所得款項將由附屬公司直接轉付給供應商，以支付借方根據儲存協議應付代價的款項。在沒有知會該公司和附屬公司各自董事會的情況下，焦博士及焦先生批准了貸款協議。借方是該公司的視作關連人士，而貸款協議構成主要及關連交易。該公司未有就貸款協議遵守主要和關連交易中有關彙報、公吿、通函及股東批准的要求。
在2016年9月至12月期間，附屬公司分數次轉付了貸款（總值1億3,757萬元人民幣）。當時附屬公司的帳目及該公司於2016年11月18日發佈的2016中期業績內未有記錄截至2016年9月30日止的貸款及可收利息。
在審計16/17財政年度結果時，該公司當時的審計師安永會計師事務所（安永）發現了附屬公司的帳目與銀行確認書中現金及銀行結餘有所出入（差異）。安永建議該公司就有關差異進行獨立的法證調查。但是，該公司聘任的天職香港內控及風險管理有限公司（天職）只進行執行商定程式（AUP）。其後，該公司終止了與安永的合約，並委任大華馬施雲會計師事務所有限公司（大華馬施雲）作為其新任審計師。大華馬施雲就16/17財政年度及17/18財政年度的年度業績發表了無法表示意見。
