美法院就特斯拉併購SolarCity損股東利益指控展開聆訊
美國達拉華法院就美國太陽能企業太陽城(SolarCity)被美電動車生產商特斯拉(Tesla)(TSLA.US)併購中損害股東權益指控進行聆訊。
原告爲工會退休基金及資產管理公司,他們指控特斯拉行政總裁馬斯克控制的特斯拉董事會在該項26億美元換股收購案中,榨取太陽城的資產。同爲兩間公司創辦人的馬斯克,當時持有兩間公司各約22%股權。部分特斯拉股東指摘收購是爲馬斯克的太陽能投資付鈔。
馬斯克在庭上表示,他試圖不成爲特斯拉的行政總裁,但若他不擔任該職公司便將完蛋。對於馬斯克在董事會上壟斷該項收購討論,促使特斯拉高價併購太陽城並誤導股東有關太陽城財務狀況的指控,馬斯克稱他沒有參與討論相關併購條款的小組,亦不知道該小組的決定。
案件將傳召董事會成員及參與該宗合併人士作證。
