卓悅(00653.HK)原大股東葉俊亨夫婦入稟要求取消賣股
卓悅控股(00653.HK)創辦人葉俊亨及其妻子鍾佩雲透過兩人全資擁有的公司於上週五(9日)入稟高院,民事控告卓悅現任主席陳健文,指他違反早前向他們購入卓悅股份時的協議,故要求法庭頒令宣告原告與陳的股份買賣協議無效,要陳健文交還卓悅的股份予原告,並禁制陳健文罷免葉氏夫婦執行董事職務,並作出賠償。
根據雙方買賣協議,被告陳健文成爲卓悅大股東後,會替卓悅尋找生意機會、並於完成交易後的兩年內,以8.8億港元購入荃灣橫窩仔街卓悅大廈。陳健文亦要確保董事會的控制權,並確保葉俊亨及其妻子繼續成爲卓悅的執行董事,並可使用大廈的會所及儲物室等。
原告現指陳健文並沒有確保董事會的控制權,兩人亦於今年6月29日被罷免卓悅執行董事之職務。而被告亦沒有盡力替卓悅尋找生意機會及購入卓悅大廈。
