中國水務(00855.HK):換股債轉換價下調至7.62港元/股
格隆匯7月12日丨中國水務(00855.HK)公佈,公司的獨立財務顧問已向公司確認,因應公司派付2020年末期股息及2021年中期股息,可換股債券轉換價應調整至每股7.62港元,而有關調整已於該公佈日期生效。於該公佈日期,可換股債券的未償還本金總額為3.61億港元。根據經調整轉換價,公司於悉數轉換可換股債券後將予發行的最高股份數目將由約4488.65萬股增至約4741.95萬股。
據悉,2020年4月1日,公司作為認購人與BPEA作為發行人訂立認購協議,公司有條件同意認購及BPEA有條件同意發行可交換債券,代價約為3.61億港元,將透過由公司向BPEA發行可換股債券,以按初步轉換價8.05港元/股轉換為最多約4488.65萬股轉換股份的方式償付,而可換股債券已於2020年5月8日發行。
