威高國際(01173.HK)：2021年全年業績公佈所載的全年業績與2021年經審核全年業績相同 明起復牌
格隆匯7月11日丨威高國際(01173.HK)發佈截至2021年3月31日止年度經審核全年業績，誠如2021年全年業績公佈所述，公司核數師德勤·關黃陳方會計師行(“核數師”)於2021年6月29日並未按上市規則第13.49(2)條要求同意當中所載的未經審核業績。
董事會欣然宣佈，核數師已根據香港會計師公會頒佈的香港審計準則完成其對集團截至2021年3月31日止年度全年業績的審計工作。公司已獲得核數師對集團截至2021年3月31日止年度經審核綜合業績(包括集團綜合財務狀況表、綜合損益及其他全面收入表以及相關附註所載之數字)(“2021年經審核全年業績”）的同意。
2021年全年業績公佈所載的全年業績與2021年經審核全年業績相同。
審核委員會包括所有三名獨立非執行董事。審核委員會已審閲2021年經審核全年業績。
公司之核數師德勤·關黃陳方會計師行已同意2021年全年業績公佈所載的關於集團截至2021年3月31日止年度的綜合財務狀況表、綜合損益及其他全面收入表與相關附註之數字與集團本年度之經董事會於2021年7月11日獲批准的審核綜合財務報表所載的金額一致。德勤·關黃陳方會計師行就此進行的工作並不構成根據香港會計師公會所頒佈的香港審計準則、香港審閲聘用準則或香港核證聘用準則的保證委聘，因此德勤·關黃陳方會計師行並無對2021年全年業績公佈或此公佈作出明示保證。
核數師已就本集團截至2021年3月31日止年度綜合財務報表的審核於獨立核數師報吿書內“有關持續經營之重大不確定因素”一節中發表無修訂意見(如下文所載)：
意見吾等認為上述的綜合財務報表已根據由香港會計師公會頒佈的香港財務報吿準則真實及公平地反映貴集團於2021年3月31日的綜合財務狀況及其截至該日止年度的綜合財務表現和綜合現金流量，並已遵照香港公司條例之披露要求而妥善編制。
吾等謹此提請注意綜合財務報表附註2，當中顯示貴集團於截至2021年3月31日止年度產生淨虧損184,882,000港元，而截至該日期為止，貴集團的流動負債超過其流動資產256,022,000港元。誠如綜合財務報表附註2所述，貴公司董事認為，根據管理層對主要輸入數據及市場狀況(包括業務的營業額及支出增長、營運資金需要及銀行融資設施的持續續期)的判斷和估計，貴集團將有足夠資金自該等綜合財務報表獲批准之日起計未來最少十二個月內履行其財務責任。該等情況連同綜合財務報表附註2所載的其他事項，顯示存在重大不確定因素，可能會對貴集團持續經營能力產生重大疑問。吾等的意見並無就此事宜作出修訂。
公司將向聯交所申請恢復公司股份的買賣，預期股份將自2021年7月12日上午九時正起恢復買賣。
