特鋭德(300001.SZ)：國家市場監督管理總局分別給予惠迪天津與特來電50萬元罰款的行政處罰
格隆匯7月8日丨特鋭德(300001.SZ)公佈，公司控股子公司特來電新能源股份有限公司(“特來電”)於2021年7月6日收到國家市場監督管理總局下發的《行政處罰決定書》(國市監處【2021】47號)。
2018年2月21日，惠迪(天津)商務服務有限公司(滴滴間接控制的全資子公司，“惠迪天津”)與特來電簽署協議，出資1億元設立合營企業小桔特來電(青島)新能源有限公司(“合營企業”)，惠迪天津、特來電分別持股60%、40%。合營企業於2019年7月停止營業，並提交了註銷流程。
由於合營企業在取得營業執照之前未向國家市場監督管理總局申報，違反了《反壟斷法》第二十一條，構成未依法申報的經營者集中。同時，國家市場監督管理總局就惠迪天津和特來電設立合營企業對市場競爭的影響進行了評估，評估認為，該項經營者集中不會產生排除、限制競爭的效果。
國家市場監督管理總局根據《中華人民共和國反壟斷法》第四十八條、第四十九條的規定，分別給予惠迪天津與特來電50萬元罰款的行政處罰。
合營企業於2018年3月16日成立，於2019年7月停止營業，並提交了註銷流程。在合營企業設立期間，主營業務為向電動汽車提供充電服務，開展業務量較小，僅建有2個充電場站，合計35根充電樁。合營企業2018年-2019年營業收入約230萬元，約佔公司同期合併營業收入的0.018%；上述罰款金額，佔公司合並報表範圍內最近一期經審計年度營業收入和歸屬於上市公司股東淨利潤的比例分別為0.007%和0.289%。
此次行政處罰涉及的控股子公司違法行為不屬於《深圳證券交易所創業板股票上市規則》第10.5.1條規定的情形。此次行政處罰事項不觸及重大違法強制退市的情形，且不會對公司及子公司的生產經營、當期業績產生重大影響。
