海藍控股(02278.HK)擬出售及收購資產 專注於其對海南儋州的投資
格隆匯7月8日丨海藍控股(02278.HK)發佈公吿,2021年7月7日,三亞中澤凱(公司的間接全資附屬公司)、湖南金鐘(公司於附屬公司層面的關連人士)、儋州雙聯與海南實業廣州訂立第一份股權轉讓協議,據此,三亞中澤凱同意收購而湖南金鐘同意出售第一間目標公司(即儋州海藍金鴻房地產開發有限公司)的15%股權,代價為人民幣9305萬元。
同日,海南實業廣州(公司的間接全資附屬公司)與中投置業(附屬公司層面的關連人士)訂立第二份股權轉讓協議,據此,海南實業廣州同意出售而中投置業同意收購第二間目標公司(即廣西海藍金鐘房地產開發有限公司)的49%股權,代價為人民幣7188.04萬元。此外,海南實業廣州與中投置業於同日訂立第三份股權轉讓協議,據此,海南實業廣州同意出售而中投置業同意收購第三間目標公司(即廣西海藍金鐘置業有限公司)的51%股權,代價為人民幣9701萬元。
第一項收購事項、第二項出售事項及第三項出售事項將使集團能夠收購資產,使集團得以專注於其對海南省儋州的投資。鑑於第一幅地塊相較第二幅地塊及第三幅地塊的位置及指定用途,董事會認為,第一項收購事項為集團提供良機,以提升其於海南省儋州物業市場的組合,從而為股東帶來更多投資回報。
根據披露,第一幅地塊位於海南省儋州市白馬井鎮濱海新區,總地盤面積為18.03萬平方米,而總建築面積為5.08萬平方米,規劃作物業開發用途。第二幅地塊位於廣西南寧市武鳴區歡歌路東南(包括項目地塊A及項目地塊B),總面積約92畝,規劃作物業開發用途。第三幅地塊位於廣西南寧市武鳴區歡歌路東南(包括項目地塊A及項目地塊B),總面積約92畝,規劃作物業開發用途。
