展程控股(01854.HK)：佳源1.16億港元拿下公司控股權 溢價7.14%提全購 明日復牌
格隆匯7月6日丨展程控股(01854.HK)宣佈，於2021年6月29日，賣方Classic Line Holdings Limited(由主席兼執行董事廖子情實益全資擁有)及佳源訂立股份購買協議，據此，賣方同意向佳源出售5.2億股公司股份，佔經擴大後公司股份約34.39%，現金代價總額為7800萬港元。
於同日，公司及佳源訂立認購協議，據此，公司同意向佳源配發2.52億股新股，佔經擴大後公司股份約16.67%，現金代價為3780萬港元。
於聯合公吿日期，賣方為控股股東，持有7.2億股股份，相當於公司現有已發行股本約57.14%。由於佳源在與該等協議的訂約各方磋商時已表明有意取得不少於50.1%的已發行股份，賣方與佳源達成共識以使佳源能鞏固對公司的控制。因此，賣方與佳源為一致行動。於聯合公吿日期，佳源及其一致行動人士(賣方除外)並無持有任何股份或控制股份的任何投票權。
於完成後，佳源將持有7.72億股股份，佔經擴大後公司已發行股本約51.06%。待完成後，新百利(代表佳源及根據收購守則)將向股東提出無條件強制現金要約，每股要約價為現金0.15港元，較6月29日收市價0.140港元溢價約7.14%。
據悉，佳源為一間於英屬處女羣島註冊成立的投資控股有限公司。於聯合公吿日期，除訂立股份購買協議及認購協議外，佳源並無從事任何重大業務。於聯合公吿日期，許國偉、鍾學勇及劉友專為佳源董事。於聯合公吿日期，佳源由中國萬天、Yap Global及Hooy Investment分別擁有81%、12%及7%的股權。
認購事項將為集團引入新資金，佳源認為此將加強集團資產負債表的表現。認購事項加上股份轉讓使佳源擁有對集團的法定控制權，即不少於公司已發行股本的50.1%。於該等協議各訂約方協商過程中，佳源表示其有意獲得不少於50.1%已發行股份。由於廖子情(賣方的最終實益擁有人及集團的創辦人)擬維持保留股份作長期投資，佳源將僅能夠根據股份轉讓收購公司已發行股本的約41.27%。考慮到收到足夠的要約接納以便佳源將獲得對公司超過50.1%的控制權的不確定因素，佳源擬於要約開始前透過認購事項獲得對集團的法定控制權。董事認為，認購事項乃公司籌集額外資金的適當方法，毋須承擔利息成本，同時擴濶公司的資本基礎。
認購事項的估計所得款項淨額約為3680萬港元，公司擬動用(i)約2200萬港元的所得款項淨額償還集團的銀行借貸；(ii)約1000萬港元的所得款項淨額設立兩間零售門店，以將集團的食材銷售渠道擴展至零售市場；及(iii)所得款項淨額結餘作一般營運資金用途。於聯合公吿日期，集團概無就設立零售門店訂立任何協議。
此外，公司已向聯交所申請於2021年7月7日上午九時正起恢復股份在聯交所買賣。
