湘油泵(603319.SH)：與長安車聯、東嘉智能簽訂智慧出行合作備忘錄
格隆匯7月6日丨湘油泵(603319.SH)公佈，鑑於公司與重慶長安車聯科技有限公司(“長安車聯”)、湖南東嘉智能科技有限公司(“東嘉智能”)對各方專業技術及發展規劃的認可，合作三方將通過技術合作、技術開發、股權投資等方式共同打造智能聯網、智能駕駛系統的生態鏈，促進智慧出行項目的順利開展和完成，三方特簽訂《智慧出行合作備忘錄》。
此次簽署的合作備忘錄涉及的交易方東嘉智能為公司控股股東、實際控制人許仲秋控制的企業，同時也為公司的參股公司，該合作備忘錄構成關聯交易。
甲方：重慶長安車聯科技有限公司，乙方：湖南機油泵股份有限公司，丙方：湖南東嘉智能科技有限公司；主要內容如下：
乙方及丙方按照智慧出行項目的階段性進展，通過甲方分批採購長安CS55炫智型、長安EV460或其他長安新能源車型；
甲方提供長安系列車輛的自動駕駛協議開放服務及相關技術服務支持，乙方及丙方負責在長安系列車輛上提供並應用其執行層控制單元ECU以及安裝及調試；
三方在智慧出行項目中優先應用、升級長安出行呼叫系統；
開始首台DEMO車的自動駕駛平台開放改制工作，並儘快完成車輛的智能駕駛技術升級；
在確認已完成技術升級的DEMO車取得海南省相關封閉測試牌照後，啟動智能駕駛車隊批量擴容(50台)的相關工作；
三方將共同努力，實現智能駕駛系統在Robotaxi、Shuttlebus、無人公交、無人物流車等多場景應用及相關技術的迭代升級。
長安車聯繫重慶長安汽車股份有限公司(SZ:000625)全資子公司，依託長安汽車優質汽車產品和服務產業鏈，充分融和先進的移動互聯網科技，提供新能源分時租賃、智能充電與公務服務用車等一系列出行服務，構建“長安出行”即互聯網+創新出行服務運營平台。
東嘉智能主要從事智能車載設備製造，自動化控制系統的研發、安裝、銷售及服務，其核心產品為智能駕駛執行層控制單元ECU，是國內最早研發並擁有執行控制系統核心知識產權的自主品牌企業，擁有領先的EPS控制系統相關的控制策略設計、典型助力算法以及其他硬件和軟件設計能力，包括概念設計、方案設計、安規設計、原理電路、PCB及Layout、電磁兼容、DFx、熱保護、故障保護、功能安全、故障診斷、硬軟件測試、性能標定等；擁有各類專利26項、其中發明專利13項；涵蓋汽車轉向系統產品及結構設計，控制系統硬件及軟件開發，CAE、NVH分析、轉向性能標定及匹配、試驗測試等專業技術領域，具備良好的技術優勢及行業先發優勢。
此次備忘錄的簽署意在為三方後續技術合作、技術開發、股權投資等合作方式達成初步合作意向，是公司在智慧出行、智能駕駛業務上的重要佈局，有利於“三亞市崖州灣科技城智能駕駛測試基地及智慧出行項目”的實施構建良性平台基礎，並有助於提升公司在汽車零部件製造領域的競爭優勢，進而提升公司未來核心競爭力。
