文化長城(300089.SZ)及相關責任人存多項信披違規遭罰 實控人蔡廷祥被市場禁入10年
格隆匯7月6日丨文化長城(300089.SZ)公佈，公司於2021年7月4日收到廣東證監局對原董監高及公司出具的《行政處罰及市場禁入事先吿知書》(廣東證監處罰字(2021)7號)。經廣東證監局查明，文化長城、蔡廷祥、許高鐳、任鋒、蔡雪凱、吳淡珠、羅晨鵬、謝建歆、金永麗、陳偉雄、謝潔、高洪星涉嫌以下違法事實：
一、文化長城2017年年度報吿、2018年半年度報吿未按規定披露對外擔保，存在重大遺漏；二、文化長城2016年年度報吿、2017年年度報吿、2018年年度報吿未按規定披露控股股東等關聯方非經營性佔用資金的關聯交易情況，存在重大遺漏；三、文化長城2018年年度報吿虛增營業收入及利潤，存在虛假記載；四、文化長城2018年內部控制評價報吿未如實披露對翡翠教育失去控制權情況，存在虛假記載；五、文化長城2019年7月22日對深交所的回覆公吿存在虛假記載；六、文化長城未及時披露子公司股權轉讓重大變化情況；七、董事、監事和高級管理人員履職相關情況。
廣東證監局擬決定：一、對文化長城給予警吿，並處以60萬元罰款；二、對蔡廷祥給予警吿，並處以90萬元罰款，其中對其作為直接負責的主管人員處以30萬元罰款，對其作為實際控制人處以60萬元罰款；三、對許高鐳給予警吿，並處以25萬元罰款；四、對任鋒、蔡雪凱給予警吿，並分別處以20萬元罰款；五、對吳淡珠、羅晨鵬給予警吿，並分別處以10萬元罰款；六、對謝建歆、金永麗、陳偉雄、謝潔給予警吿，並分別處以5萬元罰款；七、對高洪星給予警吿，並處以3萬元罰款。
此外，蔡廷祥作為文化長城董事長兼總經理、實際控制人，指使、主導公司上述違規對外提供擔保、非經營性資金往來等事項，情節嚴重；許高鐳作為作為聯汛教育時任法定代表人、總經理，組織實施虛增聯汛教育業務收入等方式實施財務造假事項，情節嚴重。廣東證監局擬決定：一、對蔡廷祥採取10年證券市場禁入措施；二、對許高鐳採取5年證券市場禁入措施。
