神州泰嶽(300002.SZ)：子公司鼎富智能擬實施股權激勵計劃
格隆匯7月5日丨神州泰嶽(300002.SZ)公佈，為進一步建立、健全公司子公司鼎富智能科技有限公司(“鼎富智能”)長效激勵機制，充分調動其經營管理團隊和核心骨幹員工的積極性，穩定和吸引人才，並將自身利益與鼎富智能長遠發展緊密結合，鼎富智能擬實施股權激勵計劃。
此次股權激勵計劃中，授予激勵對象激勵股權總數不超過鼎富智能註冊資本的30%，其中，授予冒大衞先生股權比例為15%，授予胡加明先生股權比例為7%，其餘部分授予鼎富智能核心骨幹員工。
鼎富智能是一家專注於人工智能業務的科技公司。人工智能行業是一個技術更新迭代非常迅速的行業，是一個需要持續進行大規模創新性研發投入的行業。人工智能行業的發展離不開各類高端人才的加入和努力，而行業中高端的人才比較稀缺，人才競爭較為激烈，如何挖掘和穩定優秀人才是人工智能行業所共同面對的挑戰。雖持續的大規模研發投入會造成行業裏大量公司很難在短期內盈利，但是人工智能行業是朝陽行業，未來隨着技術的不斷成熟和商業模式的不斷完善，一定會湧現出一批優秀的科技公司。
培養和引進優秀人才、保持現有管理層和技術隊伍的穩定對鼎富智能的健康發展至關重要。為此，鼎富智能始終堅持“高績效、高貢獻、高回報”的人才發展觀，為了有效吸引、留住和激勵優秀人才、搭建合理的人才梯隊，鼎富智能擬實施本次股權激勵計劃。此次股權激勵計劃有利於建立與核心團隊的利益分享及風險共擔機制，從而提高核心團隊的凝聚力和核心競爭力。此次股權激勵計劃也會建立長效激勵體系，促進鼎富智能的持續健康發展，符合長遠發展的需要。
冒大衞、胡加明及此次股權激勵計劃的其他激勵對象都是鼎富智能經營管理和技術產品的核心成員，對鼎富智能發展戰略的實施、人才選拔、業務拓展承擔重要責任，對其未來發展起到核心推動作用。故此次股權激勵在充分保證公司利益的前提下，儘量保證激勵效果，擬以零對價授予激勵對象對應的股權激勵份額，可以有效促進鼎富智能與上述人員之間形成更加緊密的利益結合，充分調動其工作積極性，有利於促進鼎富智能業務發展，符合公司及全體股東的利益，不存在損害公司或股東利益的情形。
