萬訊自控(300112.SZ)：擬由全資子公司向Scape增資1000萬丹麥克朗
格隆匯7月5日丨萬訊自控(300112.SZ)公佈，根據公司參股子公司Scape Technologies A/S (“Scape”)的產品開發進展情況及資金需求，結合公司戰略發展規劃，擬由公司全資子公司香港萬訊有限公司(“香港萬訊”)向Scape增資1000萬丹麥克朗。
此次交易定價為2021年6月8日Scape的收盤價3.85丹麥克朗/股，若實際交易日期之股價偏離約定價格20.00%以上，則以實際交易日前5個交易日當日的平均股價為交易價格。此次交易完成後香港萬訊的持股數量和比例，以及Scape的股權變化情況將在進展公吿中披露。
前述增資款將根據Scape的研發進度分期支付，Scape將根據前述增資款的支付進度辦理相關的股權變更登記手續。
此次交易前，公司及香港萬訊合計持有Scape 29.71%股權；公司控股股東、實際控制人、董事長傅宇晨擔任Scape董事，因此，此次交易事項構成關聯交易。此外，公司董事、總經理傅曉陽與傅宇晨系兄弟關係，因此，傅曉陽亦為關聯方。
自動化生產線中，工件的分類拾取是其中的重要一環。在已經發展的技術中，基於2D視覺系統的隨機拾取較為成熟。但受限於其工作原理，該技術只適用於外形規則且與環境顏色或亮度有較大反差的工件，且不能有堆疊。而基於3D視覺系統的Bin-Picking在其基礎上實現了真正意義的隨意拾取，但由於其技術難度較高，直到進入21世紀以後，才真正有所突破，公司的參股子公司丹麥Scape的解決方案即為發展較早且較為完善的解決方案之一。丹麥Scape核心產品SCAPE系統(Smart Classifier and Pose Estimator，智能分類及位置評估)可以配合絕大多數產自世界級機器人公司(如KUKA, ABB及Kawasaki等)的標準機械手使用。現在其產品已經在歐美範圍內得到了廣泛認可，包括寶馬、奧迪、大眾、沃爾沃、福特在內的汽車產業巨頭都已採用其開發的系統，在德國、意大利、丹麥等歐美國家，已經積累了多年數十個成功的應用案例。
隨着研發投入的不斷增加，Scape產品的易用性和穩定性正在逐步提升。同時，為持續優化產品結構和性能，Scape擬進一步加大研發投入。通過本次交易，可為Scape提供研發所需資金，有助於Scape的技術提升和業務發展，有利於公司提升業務、技術等方面的核心競爭力。
