匯盈控股(00821.HK)擬收購彩虹軟件等相關軟件及Dream Impression全部股權
格隆匯7月5日丨匯盈控股(00821.HK)發佈公吿，2021年7月2日，買方及賣方訂立買賣協議，據此，(i)買方II(即公司全資附屬前海漢翔投資管理(深圳)有限公司)同意按第一筆代價人民幣4500萬元收購相關軟件，而賣方II(即賣方I間接全資附屬深圳市前海創夢科技有限公司)同意出售相關軟件；及(ii)公司作為買方I同意按第二筆代價人民幣2800萬元收購目標公司全部股份，而賣方I(即創夢天地科技控股有限公司)同意出售該待售股份；總代價人民幣7300萬元。
該代價將透過公司按發行價每股代價股份0.205港元向賣方I及╱或其代名人配發及發行425,954,020股代價股份的方式結付。發行價0.205港元較收市價0.25港元折讓18.00%。該代價股份佔公司於該公佈日期已發行股本約24.97%，及經配發代價股份擴大後已發行股本約19.98%。
該相關軟件包括彩虹軟件、女媧軟件及海豚軟件。彩虹軟件是一款為遊戲開發及營運提供全流程數據支援的軟件系統，用於展示遊戲品質及營運狀況，有助加快遊戲設計或實現營運目標。海豚軟件是一個集人工智能及大數據應用於一體的個性化營運平台。通過融合人工智能與用户畫像，其可向用户提供寶貴內容，實現精準銷售及營銷，為用户推薦合適禮品包。其亦可調整遊戲關卡的難度以提高遊戲留存率、活躍率及付費率。AB測試系統(旨在對A方案與B方案進行對比測試，以及通過測試找出最佳營運策略)還可根據AB測試項目，建立並完成營運及推廣策略。女媧軟件是一款為遊戲開發商、遊戲代理髮行商在應用程式市場發佈遊戲提供一站式解決方案與運營方案的技術服務平台軟件系統。
目標公司(即Dream Impression Holdings Limited)為一間於2020年在開曼羣島註冊成立的有限公司。於該公佈日期，其為賣方I的直接全資附屬公司，主要從事投資控股；零一香港為一間於2010年在中國香港註冊成立的有限公司。其主要從事投資控股。重組事項完成後，零一香港將成為目標公司的全資附屬公司；零一智合為一間於2020年在中國成立的有限責任公司。其主要從事網絡信息、計算機、系統集成科技專業領域內的技術開發及轉讓、提供技術諮詢、技術服務。重組事項完成後，零一香港將擁有零一智合60%的全部已發行股本。
公司相信，收購事項是公司鞏固現有業務的機會，通過結合SaaS與證券行業的Fintech(金融科技)，可進一步擴大客户羣，並提升用户體驗。此外，SaaS正在改變現代產業的商業及收入模式。Saas不僅令微軟Office、Adobe Suites、谷歌等軟件走向雲端，SaaS的趨勢亦蔓延至娛樂、遊戲、新聞報導、ERP(企業資源規劃)等領域。服務供應商可通過提供不同等級的增值服務(例如大數據分析、AI決策服務等)來滿足不同客户的需要。公司認為，在不同軟件及應用程式中應用SaaS，將拓寬集團的收入來源。
