ST通葡(600365.SH)提示股票交易風險：近期股票波動情況已脱離基本面
格隆匯7月2日丨ST通葡(600365.SH)公佈，公司股價近期波動較大，現對公司有關事項及風險再次提示。敬請廣大投資者關注公吿中的風險提示，注意投資風險，理性決策，審慎投資。
一、控制權轉讓能否推進存在重大不確定風險：公司2021年3月19日披露了擬發生實際控制人變更的提示性公吿，吳玉華、陳曉琦擬通過協議轉讓、二級市場增持、非公開發行的方式成為公司實際控制人。公司非公開發行尚需股東大會審議及中國證監會核准，由於公司存在違規擔保事項並涉及訴訟，非公開發行、實際控制人變更事項具有重大不確定性。
二、業績持續虧損風險：近年來我國葡萄酒行業近年來產量營業收入與利潤總額均呈現下滑的趨勢。公司主營葡萄酒生產銷售業務持續下滑。公司2019、2020年度連續2年虧損，歸屬於上市公司股東的扣除非經常性損益的淨利潤分別為：-4160萬元、-7127萬元。公司將存在繼續虧損的風險，提請投資者注意投資風險。
三、二級市場交易風險：公司股票近期波動較大，6月以來股票價格累計漲幅82%，漲幅明顯高於同行業平均水平，近期股票波動情況已脱離公司基本面。2021年7月2日收盤公司股票換手率為12.36%，換手率較高。公司敬請廣大投資者注意二級市交易風險，理性決策，審慎投資。
四、公司股票繼續實施其他風險警示風險：因公司自查發現7000萬元違規擔保，2020年年報公司內控審計意見被出具否定意見，公司股票繼續被實施其他風險警示。
五、公司涉及的重大訴訟：因公司違規擔保事項，目前，公司涉及大東工貿在南京中院起訴公司的案件，涉及金額：8500萬元，尚未開庭。公司涉及南京華訊通化中院起訴公司案件，涉及金額5000萬元，一審尚未開庭。
六、控股股東股權質押和凍結的風險
公司控股股東、實際控人質押比例較高達99.51%，且其持有公司股份全部被司法凍結。前述司法凍結的具體情況詳見公司於2020年10月13日披露的《控股股東所持公司部分股份被司法凍結的公吿》(公吿編號碼2020-049)以及於2021年6月2日披露的《控股股東所持公司部分股份被輪候凍結的公吿》(公吿編號碼2021-059)輪候凍結涉案江蘇大東工貿有限公司起訴被吿吉祥嘉德投資有限公司、尹兵、吉祥大酒店有限公司及公司債權追償糾紛案。敬請廣大投資者注意股票交易風險。
